About The Opportunity
Netwealth has a specialist governance function led by our Head of Governance & Assistant Company Secretary. Weve created a new Governance Manager role to provide dedicated governance and company secretarial support to the Netwealth Superannuation Trustee Board and its Committees.
This role functions a governance service provider to the Trustee Office. You will be the day-to-day contact for board and committee matters working directly with the Trustee Company Secretary to ensure meetings papers and processes are delivered accurately and on schedule.
Youll work within a clear monthly cycle preparing papers attending meetings drafting minutes maintaining registers and supporting annual governance activities. The function is growing so your remit will expand over time offering genuine opportunity to shape how governance is delivered across the business.
Youll also collaborate closely with the wider governance team to support Group Boards and corporate governance initiatives as required.
In this role you will:
Co-ordinate end-to-end arrangements for Trustee Board and Committee meetings including scheduling agenda planning preparing and distributing board packs (via Diligent Boards).
Prepare timely accurate minutes resolutions and action lists ensuring strong governance standards are upheld.
Manage the Trustees calendar of meetings and liaise with Directors and management.
Support annual processes including Fit & Proper reviews Board surveys Director training records and regulatory reporting activities.
Maintain key governance registers including conflicts relevant interests and gifts & entertainment.
Contribute to Trustee policies charters annual workplans and governance documentation.
Assist with annual Board performance reviews and reporting cycles for the Trustee entities.
Provide backup support to the governance team including uploading papers coordinating meetings across Trustee and Corporate entities and reducing duplication of administrative work.
Support continuous improvement of governance processes systems and documentation.
Provide governance support to Group Boards and Committees when required.
About you
Youre an experienced governance professional who brings both technical capability and practical judgment. Youve supported boards or committees before ideally in a superannuation fund financial services or APRA regulated environment. You bring external perspectives fresh thinking and the confidence to work independently while partnering with senior stakeholders.
You will thrive here if you bring:
Experience & Technical Capability
At least 45 years experience in company secretarial work governance support or a related role.
Exposure to superannuation financial services or APRA regulated environments (highly advantageous).
Strong understanding of corporate governance frameworks board processes and company secretarial practices.
Experience drafting minutes preparing papers managing registers and coordinating board/committee cycles.
Familiarity with board portals (ideally Diligent Boards).
Knowledge of Corporations Act ASIC and APRA requirements (preferred).
Tertiary qualifications in law business governance or similar; Governance Institute accreditation is highly desirable.
