Job Summary

Were looking for a Senior Legal Counsel- Finance to join us in London (Kings Cross)

Were looking for a qualified solicitor to join Liberty Blumes dynamic Finance Legal team in London. This is an exciting opportunity to play a key role in our team focussing on Liberty Blumes fast growing and expanding business that originates financing products for the Liberty Global group and beyond.

A significant part of the role will be deal based and assisting on financing transactions including drafting and negotiating financing documents in-house. There will also be a general advisory element as well as assisting with strategic opportunities such as developing bespoke products for new clients and strategic partnerships.

The successful candidate will assist on a wide range of financing transactions (both on and off-balance sheet) for multiple clients in multiple jurisdictions including vendor financing bilateral loan agreements receivables financing structures such as factoring facilities and more.

KEY ACCOUNTABILITIES

  • Working in a global entrepreneurial highly dynamic and driven environment focussed on the highest standards of execution and delivery of financing products

  • Day to day responsibility for managing the legal aspects of transactional activity including advising on structuring managing external counsel to ensure execution within the required timescale and budget and drafting negotiating and finalising relevant transaction documents (with appropriate external counsel support on larger transactions eg securitisations) to obtain the best possible terms including commercial term sheets commitment letters bilateral facility agreements intercreditor agreements security agreements fee letters vendor finance agreements master receivables purchase agreements note purchase agreements and other securitisation related documents referral agreements NDAs and intercompany agreements

  • Working collaboratively in small often client facing teams involving experts from the wider Liberty Blume and Liberty Global functions including Liberty Blumes finance origination team Treasury Tax Accounting/Finance Reporting and operational business teams

  • Working with the business to identify risk and escalating where appropriate (as well as recommending mitigation strategies and implementing solutions)

  • Managing upwards keeping more senior members of the team informed about important issues presenting clearly and precisely to stakeholders and enabling others to understand the key facts and issues

  • Building and maintaining relationships with external legal counsel banks clients etc.

  • Staying up to date with legal developments as well as supporting the team in maintaining and developing know how precedents and training materials

KNOWLEDGE & EXPERIENCE

  • Degree level education / relevant professional qualifications in law and relevant years of PQE

  • Strong finance background is essential; you will either be an associate in a top tier private practice firm or may be an in-house debt finance lawyer with experience of a wide range of financing transactions

  • Excellent drafting skills with experience of negotiating as some products/documents are drafted in house

  • Solutions orientated and able to analyse and understand complex financing structures and technical details as part of the role will be advising origination on developing new products

  • Commercially minded and able to exercise skill and good judgement in making sound logical and justifiable decisions

  • Dynamic and proficient in managing multiple material matters at any one time able to manage stress and to work calmly and quickly under pressure

  • Proactive/self starter and comfortable working autonomously or in a small team as well as in cross-functional and cross-jurisdictional teams

  • Excellent communication and project management skills

  • Telecoms experience is an advantage but not a requirement

  • Self-knowledge ability to know own limits and to manage these

  • Strong moral/ethical convictions
