About This Role

Reporting to the Vice President General Counsel theManager GeneralCounselwillmanagethe post-closing requirements of core fundloans the closing of special loan fund loans and documentation related toextensions and amendmentsof portfolio role is essential to advancing NFFs mission by ensuring that lending activities are executed with rigor compliance and care enabling the organization to deploy capital responsibly and effectively. Additionallythe Managerwillsupportthegeneraloperations of the General Counsel role will provide broad supporttovarious functional areas in thedepartmentincluding compliance and is an ideal opportunity for someone who is a detail-oriented highly organized professional who brings sound judgmenta strong senseof accountability and collaboration and a commitment to advancing NFFs mission through careful compliant execution of legal and lending processes.

NFF is a remote-first organization with offices in Boston New York Philadelphia Oakland and Los Angeles. This is aUS-based remoterole with a strong preference for candidates within commutable distance to NFFs New York City has core business hours where we expect all staff to be available from 9:00 am to 5:00 pm local time and occasional travel (20%) is required.

What You Will Do

Essential responsibilities for this role include but are not limited to:

Client Loan Closings Stewardship (40%)

  • Draft amendments and waiverlettersand other as loan documents as needed
  • Organize and track closing documentation for loantransactions
  • Assistwith preclosing and closingactivities as needed
  • Collect signature pagesand prepare wire transferrequests
  • Prepare and file UCCfilings including UCC continuation and termination statements
  • Performlienand litigation searches
  • Perform corporate entitysearches
  • Prepareand managecollateral release documents

Post-Closing Compliance Operations (30%)

  • Schedulepost-closing meeting with loan servicing underwriting portfoliomanagementand general counsel departments
  • Trackand follow-up ondocuments and items required post-closing
  • Track UCC and mortgage filings andtitle insurance policies in favor of NFF
  • Manage and update post-closingchecklist

General Counsel Operations & Administrative Support (20%)

  • Serve as Asana manager; create and track projects inAsana
  • Create andmaintainclientfiles
  • Upload files to corporate cloud document management system and Salesforce
  • Maintain tracking for loanamendmentsand other General Counseldepartment activities
  • Coordinate Department meetings mailings and filing projects
  • Work withNFFsNMTC team to provide post-closing support including file maintenance
  • Work with NFFs internal enterprise support team outside agent and online platforms to managetasks

Special Projects Meetings & Other Duties as Assigned (10%)

  • Formation and dissolution of special purpose entities for the NFFs NMTC team
  • Support special projects asrequiredto support thebusiness
  • Attend internal and external meetings as needed
  • Contribute toadvisinga large fast-paced forward-thinking organization on a broad range of complex legal business and strategicissues
  • As work and community/client needs changeassignments projects and job duties will be assigned and may change

Who You Are and Minimum Qualifications

  • A bachelors degree from an accredited college or university in business administration paralegal studies public administration or a related field;equivalent combinations of relevant education training and experience will be considered
  • Five (5) years of professional experience as a paralegal or similar role in a law firm with a focus on financial transactions corporate transactional work including project finance securities structuredfinanceor public finance law
  • Advanced skills managing multiple concurrent projects or transactions with responsibility for tracking timelines deliverables and follow-ups
  • Proven ability to communicate clearly and professionally in writing and verbally with internal stakeholders and external parties

  • Exceptional interpersonal and client-facing communication skills including the ability to build trust and work effectively with stakeholders at all levels
  • The ability to work independently and effectively in a remote environment building strong relationships across geographies and time zones
  • Sound judgment integrity and discretion and ability tomaintainconfidentiality of sensitive information
  • Comfort using online collaboration tools and business systems including Salesforce and Microsoft Office

Benefits and Compensation

This is an exempt full-time role with a compensation range of $99500 - $110600. A compensation offer is based on a candidates background and years of relevant experience with consideration for internal equity.
