We are partnering with a well-established publicly traded financial services firm to identify aSenior Corporate Paralegalto support a sophisticated legal and governance function. This role sits at the intersection of corporate governance legal entity management and equity administration and will work closely with senior legal leadership in a highly regulated environment.
This is an excellent opportunity for a seasoned polished paralegal who enjoys operating close to decision-makers and owning critical infrastructure that supports a public companys legal compliance and governance obligations.
The successful candidate will play a key role in supporting:
- Corporate governance and board operations including preparation and maintenance of minutes resolutions records and governance materials.
- Legal entity management across a complex domestic and international entity structure (formations qualifications annual filings good standing organizational charts authorized signatories etc.).
- Public company obligations including support around proxy materials Section 16 filings exchange-related notices and regulatory requests.
- Equity / stock plan administration including coordination around grants vesting exercises and employee inquiries in partnership with HR and Finance.
- Ongoing interaction with outside counsel internal stakeholders and auditors with a high degree of discretion and judgment.
Background Were Looking For
- Experience as a corporate or governance-focused paralegal.
- Hands-on experience supporting boards senior executives and complex entity structures
- Comfort handling confidential compensation and equity-related matters
- Experience with stock administration platforms (or strong aptitude to ramp quickly)
- High attention to detail sound judgment and the ability to operate independently
