The successful candidate will be a key player in a team responsible for managing and coordinating the complete range of GE Aerospaces securities law compliance including SEC reporting board of directors and other corporate governance matters executive compensation disclosure and monitoring securities aspects of treasury and M&A activity and other corporate transactions and global securities compliance. The Senior Counsel will work closely with the following internal clients and groups: GE Aerospaces General Counsel GE Aerospaces Board of Directors Controllership/Accounting Financial Planning & Analysis Investor Relations Treasury Human Resources (Executive Compensation Employee Benefits) Communications and other groups within the Legal department.

Roles and Responsibilities

  • Managing SEC reporting and monitoring corporate governance executive compensation disclosure and monitoring stock exchange listing compliance securities aspects of treasury and M&A activity global securities compliance and coordination across corporate securities and regulatory lawyers across GE Aerospace.

  • Counseling GE Aerospaces board of directors senior leadership and employees on securities laws corporate governance and disclosure matters.

  • Preparing for company board meetings including preparation of agendas and meeting materials and drafting board minutes.

  • Maintaining GE Aerospaces corporate governance documents and advising on related policies and practices.

  • Preparing and reviewing the companys Exchange Act reports and Securities Act registration statements.

  • Helping to maintain and strengthen the companys disclosure controls and procedures and internal control over financial reporting.

  • Administering the companys insider trading policy and programs and managing the filing of insider transaction reports.

  • Assisting with the preparation of the companys annual proxy statement and preparation for the companys annual meeting of shareowners.

  • Engaging with institutional investors and other external stakeholders on corporate governance executive compensation and other practices.

  • Advising senior management and Human Resources about securities and disclosure implications of executive compensation and employee benefits decisions policies and plans.

  • Assisting with sustainability matters including disclosure and external reporting on the Companys narratives progress and results across relevant sustainability topic areas.

  • Coordinating internal and external legal resources to assure U.S. and international securities law and stock exchange listing compliance.

  • Staying abreast of emerging trends and developments in securities law corporate law and governance.

Required Qualifications

  • Member in good standing of the bar of at least one U.S. state.
  • A minimum of 5 years of relevant legal experience (57 years preferred) with significant focus on corporate and securities law matters.
  • A minimum of 3 years of handson experience advising on corporate and securities law issues preferably gained at a nationally or regionally recognized law firm (inhouse experience with a public company a plus).
