PURPOSE OF THE ROLE
The Company Secretary will provide strategic and operational corporate governance and secretariat services ensuring full compliance with applicable legislation and governance frameworks. The role supports the Board and its Committees by enabling effective decision-making and ensuring adherence to public-sector governance requirements.
KEY RESPONSIBILITIES
Act as Secretary to the Board and all Board Committees
Coordinate Board and Committee meeting schedules agendas packs and logistics
Draft review and maintain accurate Board and Committee minutes and resolutions
Advise the Board and Executive Management on governance compliance and statutory obligations
Ensure compliance with the Companies Act PFMA King IV and related legislation
Maintain statutory registers records and regulatory submissions
Facilitate governance reporting disclosures and audit processes
Support Board inductions evaluations and ongoing governance training
Liaise with regulators auditors shareholder representatives and oversight bodies
Requirements
MINIMUM REQUIREMENTS
Bachelors degree in Law Governance Business Administration or a related field
CGISA qualification (or equivalent professional governance certification)
Minimum of 20 years proven experience within the public sector specifically in Company Secretariat or senior governance roles
Extensive experience supporting Boards and Board Committees of public entities or state-owned institutions
In-depth knowledge of the Companies Act PFMA King IV and public-sector governance frameworks
Required Skills:
MINIMUM REQUIREMENTS Bachelors degree in Law Governance Business Administration or a related field CGISA qualification (or equivalent professional governance certification) Minimum of 20 years proven experience within the public sector specifically in Company Secretariat or senior governance roles Extensive experience supporting Boards and Board Committees of public entities or state-owned institutions In-depth knowledge of the Companies Act PFMA King IV and public-sector governance frameworks
