THE ROLE
We are seeking an experienced Legal Counsel to support a corporate restructuring project for a global luxury goods company. The ideal candidate will have strong international corporate experience hands-on restructuring expertise and the ability to collaborate effectively with cross-regional teams and external counsel. This is a part-time temporary position requiring regular on-site presence in Zurich Switzerland. Fluency in English is essential for this role.
KEY RESPONSIBILITIES
- Lead and support activities related to corporate restructuring including planning coordination and execution tasks.
- Manage and review merger processes including corporate approvals document preparation and regulatory checks.
- Conduct due diligence and evaluate legal risks associated with mergers and restructurings.
- Review and negotiate merger agreements and other transactional documents in collaboration with outside counsel across multiple regions.
- Coordinate and align with internal teams ensuring smooth day-to-day operations of the corporate legal function throughout the project.
- Provide practical business-oriented legal guidance to stakeholders in a fast-moving international environment.
- 57 years of experience in corporate law ideally with exposure to international corporate structures.
- Proven corporate restructuring and transactional experience including mergers and due diligence.
- Strong ability to coordinate and collaborate across teams and jurisdictions.
- Professional working proficiency in English; additional languages are a plus.
- Qualified lawyer with an international background.
- Must be based in Zurich and able to work on-site.
- Ability to manage multiple workstreams with a pragmatic and solution-oriented approach.
