About the Role
Tulip is expanding its Commercial & Legal capabilities in Budapest and were looking for a Contract Specialist who can be the day-to-day engine behind our commercial contracting and procurement this role youll review a wide range of commercial agreements (with a focus on software/SaaS) manage NDAs at scale and lead vendor/procurement contract reviews. Youll partner closely with Sales Customer Success Finance Security and our Legal team to keep deals moving quickly while protecting Tulips risk role reports into our global legal department partnering closely with the Head of Legal and senior stakeholders across the business. A law degree is a plus but not required.

What skills do I need

- Prior experience working with implementing or administering Contract Lifecycle Management (CLM) software and related legal/procurement tools.
- Foundational understanding of how contract terms impact key financial areas such as revenue recognition (e.g. ASC 606 standards) compliance and general audit readiness
- Awareness of contracting considerations across different international jurisdictions particularly regarding data privacy (e.g. GDPR) and general commercial practices.
Key Responsibilities
Customer & Partner Commercial Contracts
- Review redline and help negotiate customer-facing agreements including MSAs order forms subscription terms SOWs data processing agreements SLAs and partner/reseller agreements.
- Identify and clearly explain contractual risks to stakeholders (e.g. liability caps indemnities IP ownership data security audit rights termination) and propose commercially sensible fallback positions.
- Apply and maintain Tulips contract playbooks and clause library ensuring consistent positions across deals while recognizing when escalation is needed.
- Collaborate with Sales Customer Success and Finance to unblock deals while protecting revenue recognition compliance and risk standards.
Vendor & Procurement Contracts
- Lead the legal/contract side of procurement processes for software vendors consultants and other third parties.
- Review and negotiate vendor agreements (including SaaS tools consultants and professional services) to align with Tulips standards on data protection information security confidentiality IP and commercial terms.
- Coordinate with IT Security Finance and business owners to ensure vendor contracts meet internal requirements and are properly approved.
- Maintain visibility into key vendor obligations (renewal dates notice periods SLAs audit rights data protection commitments) and flag upcoming renewals and risks.
NDAs and High-Volume Standard Agreements
- Own the end-to-end NDA process (customer partner and vendor): generate templates review counterparty forms and ensure quick turnaround.
- Maintain NDA templates and fallback positions that balance speed with reasonable protection for Tulip.
- Support other standard form agreements (e.g. evaluation agreements simple pilots mutual confidentiality terms) and streamline workflows for high-volume use.
Contract Operations & Process Improvement
- Help implement and maintain contract management tools (CLM storage trackers) ensuring contracts are organized searchable and accurately tagged.
- Create and update checklists playbooks and training materials for Sales Customer Sucess Procurement and other teams on how to use Tulips standard terms and when to escalate.
- Track and report on key metrics such as turnaround times common redlines exceptions and renewal timelines feeding insights back into process and template improvements.
- Partner with Finance to ensure contracts support audit compliance and revenue recognition requirements (e.g. clear contract boundaries term/renewal structure and pricing language).
Collaboration & Stakeholder Support
- Serve as a first-line point of contact for contract questions from Sales Customer Success Procurement and internal stakeholders in Hungary and globally.
- Coordinate with Tulips Head of Legal and external law firms for escalated issues unusual structures or high-risk terms.
- Contribute to cross-functional projects that touch contracts and vendors (e.g. new product launches data protection updates security questionnaires policy changes).
