About the OpportunityThe firm is seeking an attorney with corporate transactional experience to join our business law practice with a focus on mergers and acquisitions entity formation and governance business succession planning contract negotiation and ongoing general legal support to our clients.
This role offers meaningful client contact varied work and a flexible billable hour expectation.
Key responsibilities include:- Form and organize LLCs corporations and other business entities including drafting operating agreements shareholder agreements and governance policies.
- Advise owners executives and boards on ongoing governance compliance and business operations.
- Draft review and negotiate a wide range of commercial contracts including service agreements vendor and supply agreements employment and contractor arrangements and other operational contracts.
- Represent buyers and sellers in small- to middle-market M&A transactions including asset and equity deals.
- Structure draft and negotiate purchase agreements and ancillary transaction documents.
- Coordinate and perform due diligence identify legal risks and develop practical strategic solutions.
- Assist closely held and family-owned businesses with leadership transition planning ownership transfers and buy-sell agreement strategies.
- Provide practical business-focused guidance to help clients achieve commercial goals and manage risk.
Qualifications- 26 years of relevant corporate transactional experience preferably in a law firm or in-house setting.
- Strong drafting negotiation and project management skills.
- Experience communicating directly with clients.
- Admission to the Michigan Bar (or ability to waive in).
- Ability to work both independently and collaboratively within a supportive team environment.
