Main purpose of the role:

The strong candidate will provide legal support for ECM transactions including IPOs rights issues secondary offerings and other equity-linked deals.

Duties & Responsibilities:

  • Advise on ECM transactions such as IPOs follow-on offerings rights issues and private placements.

  • Draft and negotiate prospectuses underwriting agreements engagement letters and listing documents.

  • Liaise with regulators (HKEX SFC) to ensure compliance with listing rules securities regulations and disclosure obligations.

  • Conduct and coordinate legal due diligence for issuers and underwriters.

  • Provide guidance on corporate governance shareholder communications and disclosure requirements.

  • Collaborate with internal teams (investment banking compliance) and external counsel to manage transaction timelines and deliverables.

  • Track regulatory developments and advise on implications for ECM activities.

Person specification:

  • Hong Kong or Commonwealth qualified lawyer with minimum 5 years PQE (preferably in ECM/M&A).

  • Solid experience in ECM transactions gained from a top-tier law firm or in-house legal team.

  • Strong understanding of Hong Kong Listing Rules Securities and Futures Ordinance and corporate governance frameworks.

  • Excellent drafting negotiation and communication skills.

  • Fluent in English; proficiency in Cantonese and/or Mandarin is highly desirable.

  • Ability to work independently manage multiple workstreams and deliver under pressure.
