DescriptionProject:
The Woodfibre LNG Project is located approximately 7 km west-southwest of Squamish British Columbia. It involves the construction and operation of a liquefied natural gas (LNG) export facility on the previous Woodfibre pulp mill site which would have a storage capacity of 250000 m3 and would produce approximately 2.1 million tonnes per year of LNG.
The Woodfibre LNG Project is being constructed and will be operated through a partnership between Pacific Energy Corporation Limited (PECL) and Enbridge Inc.
Natural gas feedstock for the project will primarily be provided by Woodfibres sister company Pacific Canbriam Energy Limited (PCE) based in Calgary and with assets in Northeast British Columbia.
Position:
Woodfibre Management Ltd. the manager of the Project and its related business group including PCE are seeking Senior Legal Counsel to join its talented team of lawyers in our Vancouver or Calgary offices.
The role reports to the Vice President Legal and is part of a small cross-functional team that serves the diverse needs of the Woodfibre LNG project and PCEs upstream assets in NEBC.
The ideal candidate would bring strong work ethic exceptional drafting skills sound judgment and a pragmatic effective and creative approach to the in-house legal role. More importantly we are looking for candidates with a desire to be part of one of the first LNG projects in Canada.
As a small high-performing legal team our members are expected to handle a broad range of legal matters that companies face in the energy industry including natural gas and LNG. While workloads may be allocated to various team members with a particular experience or interest we are looking for self-starters that are able to quickly identify and prioritize legal and commercial issues and work collaboratively with stakeholders (internal and external) to develop practical and risk-balanced solutions.
Key Responsibilities:
Ideal candidates should have broad and deep experience in the development or regulation of natural resource projects in Canada with an ability to address a broad range of issues and prepare a variety of agreements including but not limited to following:
- Regulatory matters and permitting support on the federal provincial municipal and First Nations levels;
- Environmental and regulatory compliance;
- First Nations consultation;
- Implementation of Impact Benefit Agreements with First Nations;
- EPC contract support and claims management;
- Supply Chain and Procurement (including local and Indigenous procurement);
- Project finance or loan transactions;
- Litigation management;
- Planning for and implementing the companys response to civil disobedience;
- Occupation health and safety (OHS) support;
- Planning for and participating in emergency response and incident command scenarios;
- Negotiation drafting and review of contracts relating to the business of the group such as GSA LNG Offtake Contracts;
- Business development including Non-Disclosure Agreements Letters of Intent and purchase and sale agreements; and
- strategic legal and cross-functional support on a broad range of corporate commercial and business group matters.
It is not expected that the ideal candidate will be able to demonstrate mastery in all of the above categories however preferred candidates should be able demonstrate material experience in several of the above with a strong preference for regulatory EPC contract and claims management or GSA LNG Offtake Contract experience.
RequirementsRequired Experience:
- At least 8 years experience in regulatory commercial and/or natural resource related law in British Columbia or Alberta
- Canadian law degree and current membership (or willingness to obtain membership) in the law society of British Columbia or Alberta
- Ability to work in-office at either our Vancouver Office or Calgary Office
- Ability to travel to Vancouver Calgary Squamish and Houston Texas.
