Associate Counsel International Integrations
TheAssociate Counsel International Integrationswill act as a subject matter expert and provide guidance to Global Legal and Business Partners on the integration of Mergers and Acquisitions (M&A) and complex transactions.
What you will do:
- Provide timely solution-oriented and practical advice and counsel to all clients and businesses of MSNT internationally.
- Supporting the implementation of international integration strategy including partnering with Regional Leads.
- Providing legal guidance to the Business Development and Integration team on international integration strategy for mergers acquisitions divestitures and other complex transactions.
- Supporting Indirect Channel Management (ICM) and business leaders in administering market exits including preparing supporting documentation and supporting Regional Counsels to provide timely advice and support execution of regional strategies.
- Providing practical advice to business clients COEs and Regional Counsels on risks and opportunities arising from complex transactions.
- Reviewing commercial agreements including leases purchase agreements and service contracts and advising Regional Counsels on relevant risks.
- Developing and executing communication plan to inform Regional Counsels on integration strategy and timeline.
- Collaborating with Governance team to execute regional board strategies and other company secretarial work.
- Collaborating and communicating globally with COEs Regional Counsels senior management outside counsel and other stakeholders on key strategies and issues.
- Assist and support Strykers compliance programs and work closely with the Regional Compliance Officers as necessary.
- Supporting the Group Regional Counsel in providing advice and guidance to business in all International Markets.
- Monitor legal developments across the globe provide updates to various stakeholders and take action to address such developments internally.
- Assisting on other matters as needed.
What you need:
Required:
- Law degree and admission to practice law in a relevant jurisdiction.
- Minimum 7 years of applicable professional experience within a law firm or a legal department.
- Fluency in English required.
Preferred:
- Prior experience in life-sciences.
- Experience providing timely legal advice in a highly regulated environment.
