What you will be doing
Reporting to the Chief Operating Officer (COO) the Governance Manager & Board Secretary plays a vital role within the organisation ensuring the effective management of legal and contractual documentation good governance around policies including procurement and the effective functioning of the Board and its Committees. Working closely with the CEO COO Board Chair Company Secretary and Committee Chairs the role will maintain all governance documentation manage the Board and Committee meeting cycles and coordinate the timely preparation and distribution of high-quality Board papers agendas minutes and action item registers.
Key Responsibilities
- Maintain and update Board and Committee Charters and governance documents in line with legislative and organisational requirements.
- Ensure Board compliance with governance policies the Constitution and regulatory obligations (e.g. ACNC Aged Care Quality Standards).
- Coordinate preparation and distribution of high-quality agendas papers minutes and action registers for Board and Committee meetings.
- Record accurate succinct minutes and ensure timely circulation and approval.
- Track and follow up on action items arising from meetings.
- Manage company secretarial compliance including preparation and lodgement of statutory filings (ASIC ACNC etc.).
- Maintain accurate records of Board and Committee membership terms and declarations of interest.
- Support the Board Chair Committee Chairs CEO and COO on governance-related matters.
- Liaise with internal and external stakeholders to ensure efficient flow of governance information.
- Maintain a centralised filing system for signed contracts compliance documents and statutory registers.
- Lead continuous improvement of governance Board and Committee processes across the organisation.
- Manage organisation-wide General Meetings including the Annual General Meeting in line with legal and Constitutional requirements.
Role Requirements
- A degree in business law governance risk or a similar discipline
- Proficiency in Microsoft Office Suite and experience with Board portals or document management systems (e.g. BoardPro Diligent Convene) would be well regarded.
- A minimum of 5 years experience in a legal company secretarial or governance role preferably in a not-for-profit environment.
- Experience within a NFP and/or Aged Care/Health environment
- In-depth knowledge of statutory and regulatory corporate compliance requirements preferably in the not-for-profit sector
- Strong knowledge of governance principles Board/Committee protocols and Board regulatory obligations in Australia.
- Working knowledge of company secretarial regulations in Australia including ACNC and ASIC requirements.
Mandatory Requirements
- Driving License
- Undergo Criminal History Record Check at the required intervals
- Not subject to any Employee Screening or Banning Orders under relevant state or federal legislation (e.g. Worker Screening Act 2020 (Vic)).
