Job Description

Our client a leading Am Law 100 firm is seeking a Junior Associate (1 to 3 years of experience after graduating law school ONLY) with commercial contracting and/or M&A experience to join its Health Law Practice in either the New York or Washington DC office. This associate will play a key role in supporting national and regional health plan clients particularly in their contracting relationships with pharmacy benefit managers (PBMs) and other vendors while also contributing to the firms healthcare transactions practice.

Key Responsibilities

  • Draft review and negotiate service agreements PBM contracts vendor arrangements and M&A agreements.
  • Assist in contract lifecycle management including issue-spotting preparing summaries and tracking obligations.
  • Conduct research on payor regulations PBM practices and federal/state compliance matters summarizing guidance from CMS and state agencies.
  • Support responses to audits and regulatory inquiries.
  • Contribute to M&A transactions by performing due diligence preparing and negotiating transaction documents and managing healthcare-related deal components.
  • Collaborate with partners clients co-counsel and opposing counsel on contract workflows and transactional matters.

Qualifications

  • JD or LLM from an ABA-accredited law school.
  • Admission (or eligibility for admission) to the District of Columbia or New York Bar.
  • 1 to 3 years (ONLY) of litigation or transactional experience preferably in the healthcare sector.
  • Strong drafting research and analytical skills.
  • Excellent written and verbal communication abilities with the professionalism to engage with sophisticated clients.
  • Ability to manage multiple priorities stay organized and work effectively in a collaborative team environment.

Preferred

  • Experience in healthcare transactional matters.
  • Familiarity with healthcare regulatory frameworks including the Anti-Kickback Statute Stark Law corporate practice of medicine restrictions CON and licensure requirements.

Fee - 25% Guarantee - pro-rated through 6 months (50% refund)
