The Specialized Counsel provides expert legal support for mergers and acquisitions financing and investment transactions. This role is responsible for drafting reviewing and negotiating complex agreements managing due diligence ensuring compliance with securities and regulatory requirements and advising on evolving laws and policies impacting transactional matters. The role also involves coordination with outside counsel and internal legal teams to support strategic business initiatives.
Responsibilities:
Draft review and negotiate a broad range of agreements related to M&A finance and investment transactions including NDAs term sheets acquisition/divestiture agreements various loan documentation consulting/vendor contracts and investment documents.
Advise internal stakeholders on legal risks regulatory compliance and the implications of laws relating to transactional matters.
Oversee the legal and compliance aspects of due diligence processes for M&A and financing transactions.
Support the preparation and submission of securities law filings related to finance transactions.
Manage and coordinate efforts with outside legal counsel and internal legal teams including specialists and paralegals.
Maintain and update legal templates transaction checklists and documentation to ensure alignment with best practices.
Monitor and interpret legal and regulatory developments in corporate finance investments and M&A; advise business leaders on resulting compliance obligations.
Collaborate cross-functionally with finance compliance and investment teams to execute strategic transactions efficiently and effectively.
Qualifications:
Requires 47 years of relevant legal experience.
Juris Doctor (JD) degree and active license to practice law in relevant jurisdiction.
A minimum of four years of experience in M&A corporate finance or investment transactions obtained in a law firm or through a combination of law-firm and in-house settings with substantial experience drafting and negotiating complex transaction agreements.
Knowledge of securities laws regulatory compliance and corporate governance.
Strong legal drafting negotiation and analytical skills.
Ability to manage complex transactions and cross-functional legal teams.
Exceptional communication skills and ability to present legal concepts to non-legal stakeholders.
