Job Description

Mid-Level Corporate Associate

Practice Area:Executive Compensation & Benefits M&A Corporate Governance

Location:Dallas TX

Schedule:Onsite or Hybrid; Full-Time 1850 billable expectation

Salary:$275000 to $350000 base salary

Amlaw 100 firmwith a top 5 globally and top 3 natioinally ranked corporate law practice seeks anExecutive Compensation and Benefits Attorney that has a strong background in transactional employment law and compensation/benefits structuring and planning..

Role Overview:

The firm is seeking an associate with at least 3 years of experience in compensation and benefits for executive level-pay. Particular history with post-merger advisory and planning. The role includes advising on qualified plans health and welfare benefits programs executive compensation structures performance or equity incentives and severance packages. Daily duties will be working with high-stakes corporate transactions developing acute industry-specific knowledge and engaging with stakeholders and compensation committees. The team offers a collegiate envrionment with a long-tenured structure built for fostering growth and advancement.

Key Skills & Expectations:

  • JD from an ABA accredited law school with active Texas Bar License.
  • 3 years of experience with direct expertise in compensation & benefits law.
  • Background advising on corporate governance employment agreements company policy and procedure employee handbooks.
  • Familiarity with ERISA IRC Sections 409A and 280G and equity pay
  • Bonus incentive planning and management for executive level performers.
  • Strong academic record with excellent a demonstrated legal writing prowess.
  • Advise on severance payment ESOP plans salary benchmarking and stock options.
  • Commute to the Dallas-Fort Worth area office hybrid (3/2)
