Position Summary:
Reports to the Vice President Legal & General Counsel supporting the legal and risk management department. Performs a wide variety of administrative and claims management functions that require extreme discretion professional judgment initiative self-motivation and accuracy in compliance with company policies and management directives.
Essential Functions:
- Prepare and revise teaming agreements subcontracts nondisclosure agreements and other contract related documents.
- Perform basic legal research and draft routine legal documents for review and use by department attorneys and other department staff.
- Draft corporate resolutions and other similar documents.
- Prepare trademark registration applications; register track and maintain all company trademark registrations.
- Create generate and analyze reports from the internal litigation system.
- Create and coordinate special reports for internal and/or external use and distribution.
- Initiate and facilitate department communications with facilities clients outside law firms etc.
- Respond to internal and external requests for information including preparing responses determining what is required and assisting in gathering necessary documentation from corporate and site locations.
- Create update and maintain organizational documents including articles of incorporation or dissolution bylaws stock certificates merger agreements etc.
- Oversee the preparation and filing of paperwork required by regulatory bodies and assist with corporate compliance programs.
- Manage contracts with corporate registered agents and receive and track service of process.
- Maintain internal litigation system by entering new claims and lawsuits and tracking pleadings discovery email and trial dates etc.
- Prepare and implement litigation holds recommending updates to policies and procedures as needed.
- Assess whether litigation notifications are required per client contract requirements and submit as necessary.
- Identify collect and analyze relevant documentation and other evidence for pending claims.
- Prepare case files including organizing relevant case documents for attorney review and case or project preparation.
- Provide administrative support to legal and risk management department; answer and direct phone calls sort and distribute mail prepare and review correspondence organize and maintain department files maintain department contact lists submit vendor invoices for payment etc.
- Maintain department calendar and monitor deadlines.
- Coordinate department meetings conferences and other activities.
- Manage the departments P-Card for supplies and submit monthly summary reports to finance.
- Proof-read documents prepare exhibits and e-file documents.
- Contribute to our company Culture of Caring by maintaining positive and respectful relationships with employees customers vendors program recipients and our community.
- It is expected that the incumbent shall perform other duties as assigned within his/her capabilities as determined by management.
Required Skills:
- Familiarity with law legal procedures and protocols and court systems.
- Satisfactory knowledge of day-to-day operations of a legal department.
- Computer literacy.
- Working knowledge of case management and legal hold software.
- Proficiency using virtual data rooms to upload and organize documents.
- Proficiency in Microsoft Office 365 (Word Excel Teams SharePoint Power Point etc.) Adobe Sign Oracle Workforce litigation litigation hold electronic discovery and other corporate and departmental systems.
- Excellent written and verbal communication skills.
- Superb attention to detail and organizational skills.
- Resourceful research and analytical skills.
- Ability to manage and prioritize multiple projects and tasks.
- Ability to follow directions as given understand the purpose of an assignment and implement problem solving abilities as needed.
Education and Experience Requirements:
- 5-7 years experience as a legal assistant paralegal and/or claims administrator required.
- College degree or paralegal certificate preferred.
- Unless waived by management a valid drivers license in the state of employment with an acceptable driving record is required.
