As Corporate Counsel you will perform the critical tasks of managing a broad range of Legal matters including but not limited to drafting reviewing negotiating helping close and maintaining commercial contracts in the public and private sectors. These agreements will necessarily include master transportation and supply chain agreements warehousing agreements equipment lease agreements real estate lease agreements employment agreements and general vendor agreements. The Corporate Counsel will work with business partners and teams to develop draft and negotiate various agreements policies and processes integral to the success of the company. The Corporate Counsel role is required to provide training and best practice initiatives to business partners and teams to facilitate consistent agreement negotiation processes agreements use of/access to commercial information and negotiation strategies for commercial agreements. The Corporate Counsel role is required to work with supporting departments such as human resources operations accounting sales information technology and marketing to resolve of a wide range of business contractual IP quality regulatory financial and operational issues. This position will report to the General Counsel.
Position Description (Essential Duties & Responsibilities):
- Advise internal stakeholders and represent the company in freight loss and damage claims; negotiate and draft transportation contracts and handle all aspects of trailer leasing and warehousing legal liability.
- Assist internal stake holders with contract negotiation and RFP responses.
- Develop and recommend improvements for standard contractual documents and templates.
- Evaluate and understand applicable laws and regulations to minimize potential legal risks.
- Perform legal analysis and make practical recommendations on risk mitigation and compliance issues.
- Assist with other legal and risk management matters as requested such as those related to corporate governance joint venture employment and litigation.

Knowledge/Skills/Experience:
Basic (Required)
- JD from an accredited law school.
- Active license to practice law and/or member in state bar.
- 3 years of employment law experience.
- Superior verbal and written communication skills.
- General understanding of transportation law.
- Excellent interpersonal and customer service skills.
- Excellent organizational skills and attention to detail.
- Excellent time management skills and a proven ability to meet deadlines.
- Strong research analytical and problem-solving skills.
- Ability to prioritize tasks and to delegate them when appropriate.
- Ability to function well in a high-paced and sometimes stressful environment.
- Proficient in Microsoft Office Suite.
Preferred
- 6 years of management-side employment law experience.
- 4 years of litigation experience representing employers in employment disputes.
- 3 years of discovery related litigation experience.
- Experience with mergers and acquisitions commercial real estate leases corporate tax related matters and related litigation.
