Job Description:
- Provide clients with guidance on statutory compliance corporate structures governance standards and related secretarial matters.
- Oversee a portfolio of local and international entities handling full-spectrum corporate secretarial functions including incorporations structural changes and company wind-ups.
- Maintain and update statutory documents and records in compliance with the Companies Act 2016 Securities Commission Malaysia Act Bursa Malaysia Listing Requirements Stamp Act and other regulatory bodies.
- Ensure adherence to all corporate laws statutory filing requirements and governance frameworks.
- Monitor deadlines and ensure accurate and timely submission of statutory filings in accordance with regulatory best practices.
- Draft and submit resolutions forms and other necessary documents to the appropriate authorities as part of company secretarial operations.
- Assist in the planning and execution of Board and shareholder meetings (BODMs AGMs EGMs) ensuring all statutory and procedural obligations are fulfilled.
- Coordinate and liaise with clients auditors tax consultants legal counsel and government agencies on secretarial-related issues.
- Manage client onboarding processes including KYC checks and compliance with internal acceptance standards.
- Support business development initiatives by responding to new client inquiries preparing proposals and facilitating the onboarding process.
- Build and maintain strong client relationships effectively managing expectations and addressing concerns to ensure satisfaction and continuity.
- Review and supervise team members work prior to submission to clients ensuring accuracy and compliance.
- Proactively manage client expectations and ensure timely delivery of services.
- Perform other duties and special assignments as delegated by management or your direct supervisor.
Requirements
- ICSA / MAICSA qualification or a Bachelors Degree in Law Business Administration Corporate Governance or a related field.
- Licensed Company Secretary (or in the process of obtaining license) is an added advantage.
- Minimum 3 5 years of relevant working experience in corporate secretarial practice ideally in a professional services firm or corporate environment.
- Strong knowledge of the Companies Act 2016 Securities Commission Malaysia Act Bursa Malaysia Listing Requirements Stamp Act and other relevant regulations.
- Proficient in preparing and filing statutory documents resolutions and reports.
- Proactive responsible and client-focused mindset.
- Able to liaise effectively with clients regulatory bodies auditors and other stakeholders.
