Job Description

Universal Orlando Resort believes in-person collaboration is key to our success. Many of our Team Members work in a hybrid capacity contributing from the workplace a minimum of three days per week. There are also roles that require being on-site full time. Limited remote opportunities may be available within specific departments. Youll learn more about this during the recruitment process.

JOB SUMMARY:

The Vice President of Legal and Business Affairs is responsible for managing legal aspects of domestic and international commercial matters such as drafting negotiating and interpreting complex commercial licensing and real estate agreements and providing advice and guidance for UDX operations. This position includes managing a team of attorneys and staff as well as managing outside counsel and consultants.

MAJOR RESPONSIBILITIES:

  • Leading complex domestic and international commercial transactions including analysis of and advising management regarding relative merits of potential deal structures; establishing processes priorities and milestones for transactions; and oversight of contract and compliance tracking.
  • Negotiating drafting and interpreting complex agreements such as intellectual property licensing management financing government incentive and purchase and sale agreements; capital and operating leases; and other legal agreements.
  • Leading team of attorneys and support staff including allocation and supervision of work and professional development and management of outside counsel.
  • Advising regarding corporate transactions including joint ventures commercial lending and board and shareholder matters for domestic and international entities.
  • Strategic planning for proposed transactions management of special projects and provide general advice and counsel on legal issues to Senior Management.
  • Review and interpret laws regulations and pending legislation and any best practices applicable to UDX operations. Drafting of policies and procedures and development and presentation of training materials.
  • Understand and actively participate in Environmental Health & Safety responsibilities by following established UDX policy procedures training and team member involvement activities.
  • Perform other duties as assigned.

EDUCATION:

  • Doctor of Jurisprudence (or equivalent)

EXPERIENCE:

  • 12 years of experience in commercial and real estate transactions negotiating drafting and interpreting complex business/intellectual property contracts; or equivalent combination of education and experience.
  • Experience with land use planning and real estate development preferred.

CERTIFICATIONS LICENSES REGISTRATIONS:

  • Member of a State Bar (Florida California Texas or Nevada strongly preferred)
  • Must be highly proficient in Microsoft Word and proficient in Excel and PowerPoint as well as Internet and web-based training tools
  • Must be willing to travel frequently domestically and internationally.

ADDITIONAL INFORMATION:

  • Ability to effectively partner with Senior Management team in completing deals and resolving issues. Strong business ethics.
  • Strong transactional drafting skills; detail oriented.
  • Able to work early mornings nights and weekends to accommodate major transactions and multiple time zones and adapt to a variety of cultures.
  • Excellent communication negotiating drafting and analytic skills; must be able to work with numerous and varied clients including Senior Management.
  • Ability to handle multiple projects simultaneously in a fast-paced environment.
  • Ability to work independently prioritize and exercise sound business judgment while maintaining professional attitude.
  • Excellent oral and written communications skills.
  • Strong business acumen with good judgment.
