Job Description

Job Summary


The Transactions Counsel for Brio will primarily provide daytoday legal support to the BREDS transactional deal asset management and legal teams which will include overseeing and managing key aspects of all deal and asset management processes including due diligence review and document negotiation. This role will be expected to work independently to manage transactions to a successful conclusion whilst also forging substantive relationships throughout Brio and Blackstone as well as with various external stakeholder groups to facilitate the closing process. It will be essential for the person in this role to possess excellent legal and business judgment and an ability to identify and communicate risk in a clear and concise manner as well as an ability to come up with proposed solutions to contribute to a successful transaction and ensure that the reputation of Blackstone and Brio for reasonability and thoughtfulness is maintained. In addition this person will help administer and support BREDS initiatives and help in other functional matters from time to time.


Essential Job Functions


What you will do:


  • Deliver high quality and clear legal guidance as an integral part of the overall BREDS legal function; ensure Blackstones legal priorities and initiatives are addressed
  • Partner closely with investment business asset management and other legal professionals to explain and evaluate the legal risks of any transaction whether they arise in transaction documentation diligence or otherwise
  • Train and develop deal and asset management teams to be sensitive to legal issues at the investment asset management and organizational levels
  • Create and implement policies and procedures; ensure adherence to governance risk and compliance procedures
  • Negotiate review catalogue and summarise loan and other transaction related documents contracts engagement letters and other legal agreements
  • Review due diligence materials identifying key risks and proposing appropriate mitigants to relevant stakeholders
  • Take responsibility for managing and overseeing the legal aspects of a deal execution and due diligence process including ensuring adherence to deadlines managing internal and external stakeholders and identifying resolving and/or escalating issues as they arise
  • Supervise external counsel and other service providers when necessary or appropriate and ensure high quality and cost efficiency of external legal representation is maintained

Qualifications


What you should have:


  • Minimum of 3 years PQE representing institutional clients on UK and European real estate finance transactions
  • Be a qualified solicitor authorized to practice in England & Wales (other equivalent legal qualification may be considered with appropriate experience in the UK)
  • Be a resourceful selfstarter routinely taking initiative
  • Excellent verbal and written communication skills to a variety of audiences
  • Exceptional attention to detail
  • Team player that can thrive and lead in a fastpaced resultsoriented work environment
  • Excellent organizational and project management skills
  • Flexibility to adapt to evolving business strategies depending on market dynamics
  • Adept in navigating and simplifying complex matters of law
  • Extensive contract review and negotiation experience
  • Experience in a variety of real estate finance matters (senior loans mezzanine loans intercreditors securitisations etc.)
  • Competent computer skills in Word Adobe and email applications

Location


Brio Real Estate is currently operating out of The Shard at London Bridge this is a hybrid role with 3days working from the office and 2days optionally working from home.
