A day in the life of Senior Counsel Securities & Cap Markets at VF looks a little like this.
As Senior Corporate Counsel at VF you will handle a variety of engaging legal issues alongside an accomplished and supportive team of colleagues around the globe enabling some of the worlds most beloved and iconic brands. You will make a difference for our 30000 employees our shareholders and our millions of consumers by supporting VFs efforts to provide exceptional disclosure to investors and other stakeholders ensuring compliance with public company regulations facilitating strategic business transactions including debt and capital markets offerings implementing strong governance practices and ensuring that we manage risk appropriately. - Build strong relationships with internal and external stakeholders serving as a trusted advisor and valued teammate
- Prepare and review SEC filings such as Section 16 filings 8Ks 10Qs 10Ks and proxy statements
- Advise on disclosure matters and stock exchange SEC and corporate legal requirements
- Coordinate the planning and execution of the annual shareholders meeting
- Assist with communications and investor relations including the review of press releases and investor communications including sustainability communications
- Manage shareholder and stakeholder engagement on environmental sustainability and governance topics
- Handle corporate governance matters and documentation including the preparation of resolutions consents minutes and memoranda
- Support complex finance transactions including capital markets and M&A transactions
- Provide legal support to the equity administration team relating to shareholder inquiries equity plans Rule 10b51 trading plans the administration of the insider trading policy and related matters
- Understand governance requirements around environmental sustainability and governance topics
- Manage the legal compliance framework for securities policies and mandatory environmental and sustainability disclosures including sustainability commitments goals and targets
- Provide legal advice and guidance to business leaders on matters of corporate law advising business leaders with strategies to mitigate risk
- Support other matters as needed including subsidiary and legal entity management real estate global supply chain indirect procurement international tax and cybersecurity
- Support the business leaders colleagues and other stakeholders to recognize and manage risks employ riskmitigation strategies advise on regulatory and contractual compliance and assist with various operational and office management matters
- Stay up to date on new legal and company policies regulations trends and procedures relating to corporate law and corporate governance
What do you need to succeed
We all have unique skills that we bring to work and celebrate every day. For this role there are foundation skills youll need to succeed and excel. Additionally we are looking for 8 years of experience as attorney at reputable law firm or combination of reputable law firm and inhouse with at least 4 years of experience focused specifically on public company reporting and compliance capital markets corporate law and corporate governance
The foundation skills you will need in this position are:
- Juris Doctor (JD) degree with demonstrated strong academic performance from a toptier ABAaccredited law school
- A good sense of humor ability to laugh at oneself and desire to have fun at work!
- Responsible and highly conscientious with a very strong work ethic and diligent attention to detail
- Highly selfmotivated and responsive to the needs of colleagues and stakeholders
- Demonstrated record of resourcefulness taking initiative and readily accepting responsibility for delivering results
- Able to uphold the highest standards of discretion and confidentiality
- Demonstrated organizational planning and time management skills; a proven record of driving for and achieving results; and the ability to advance multiple projects and competing priorities with multihorizon deadlines while exhibiting grace and poise under pressure
- Proficiency in using clear concise and effective verbal and written communication skills to influence all levels of the organization with persuasion empathy and diplomacy
- Strong analytical skills and sound professional judgment
- Strong orientation towards teamwork collaboration and building strong relationships of trust with colleagues and counterparties around the globe and across cultures
- A practical approach focusing on being a business partner team member facilitator and collaborator
- Demonstrate a positive cando attitude support of the clients goals and enthusiasm for the success of VF at all times
- A deep commitment to continuously develop skills and knowledge through research training collaborating and selfimprovement with a growth mindset focused on continuous learning and development
- Strong enduser technology skills are required (including specifically word processing database and presentation technologies) as well as the interest and willingness to adopt new technologies rapidly to improve productivity and efficiency
- Admitted to practice law and in good standing in at least one state/jurisdiction
- Strong general corporate background; indepth public company securities experience helpful
- Ability to lead influence and advise at all levels of the VF organization
- Ability to work well under pressure
- Experience working with international teams and crossborder experience a plus
- Experience working with Tax Treasury Accounting Finance Procurement M&A Supply Chain and other corporate functions a plus

$168000.00 USD $210000.00 USD annuallyIncentive Potential: This position is eligible for additional compensation awards that may include an annual incentive plan sales incentive orcommissionpotential. Specific details of the additional compensation eligibility for this position will be provided during the recruiting and interview process.
