The Opportunity
The Regional Corporate and Commercial Counsel will support corporate governance compliance and subsidiary management while ensuring adherence to local regulations. This role involves drafting reviewing and negotiating commercial agreements collaborating crossfunctionally with finance HR and other Wizeline teams and assisting in corporate transactions reorganizations and intellectual property protection. Additionally the Regional Corporate and Commercial Counsel will provide guidance on data privacy (GDPR CCPA) and employment law coordinate with external counsel on legal matters and contribute to policy development and investor communications while ensuring legal risks are identified and mitigated effectively.

Education & Experience:
- Education: Juris Doctor (JD) or equivalent law degree from an accredited institution.
- Experience: Minimum of 68 years of relevant legal experience preferably inhouse or a mix of inhouse and law firm roles.
- Licensure: Member in good standing of the Spanish Bar.
MustHave Skills:
- Corporate Governance: Support corporate governance matters including the Spanish subsidiary management and compliance with corporate policies. Will assist in corporate secretary duties in the regions subsidiaries when required.
- Compliance: Assist in ensuring compliance with applicable laws and regulations in Spain and other jurisdictions in the region where the company operates providing recommendations but not making final decisions.
- Contracts: Draft review and negotiate a wide range of commercial agreements including partnership agreements licensing agreements and vendor contracts working closely with decisionmakers.
- Team work: Strong business acumen. Ability to work crossfunctionality with various teams to support legal and business objectives.
- Reorganizations: Provide legal support for internal reorganizations and restructuring efforts leading certain aspects when required but primarily acting as a support function.
- Corporate Transactions: Assist in handling various corporate transactions including M&A equity investments joint ventures and strategic partnerships ensuring legal risks are identified and mitigated.
- Subsidiary Management: Support legal matters for the regions subsidiaries ensuring alignment with corporate policies and local regulations but escalating critical decisions to senior leadership.
- Trademarks & IP Protection: Support the management and protection of the companys trademark portfolio and intellectual property rights.
- CrossFunctional Support: Work collaboratively with teams across finance HR and compliance providing legal guidance without being the sole decisionmaker.
- Policy Development: Assist in the development and implementation of corporate policies and procedures ensuring legal accuracy and feasibility.
- Investor & Stakeholder Relations: Provide legal assistance to the Associate General Counsel Corporate for investor communications and regulatory disclosures ensuring compliance with applicable laws but not directly driving investor relations strategy.
- Data Protection & Privacy: Support the companys compliance with personal data protection laws and regulations including GDPR and CCPA working alongside the Corporate & Compliance team.
- Employment: Provide legal advice on employment matters based on regional laws and regulations.
- External Counsel Coordination: Liaise with external counsel as necessary ensuring legal matters are properly managed but escalating final decisions when needed.
NicetoHave Skills:
- Experience working in an international environment or with crossborder transactions.
- Familiarity with data privacy laws such as GDPR and CCPA.
- Knowledge of intellectual property law.
- Experience in both law firm and inhouse roles preferably within the technology or software development industries.
