Corporate Legal is the legal team at Santander Headquarters which functions as a single unit and provides legal advice on a wide range of different areas with significant overlap across them such as: Corporate M&A Corporate Governance Finance Regulatory and ESG affairs Legal Operations among others.

What will you do

We are looking for a Senior Legal Counsel with significant corporate law and M&A experience that will cover a wide variety of matters in the Santander HQ Legal team but with likely focus on:

  • Assisting the Santander Group with the implementation of its strategy and business expansion by advising on the of the main strategic and corporate development M&A transactions (sales and purchases of shares/assets structural changes including internal restructurings strategic alliances capital markets transactions etc. both in Spain and abroad affecting several regulated/nonregulated businesses covering among others the following tasks.

  • Transaction structuring review and negotiation of transaction documents (including regulatory filings) preparation of documents for and participation in the Group committees/management bodies and continuous interaction with external counsels and other Group areas/teams involved in this kind of transactions (strategy & corporate development business leaders compliance tax risks capital management communications accounting etc..

  • Providing legal advice on general corporate and regulatory Spanish law / corporate governance matters such as secretariat functions in group companies call and celebration of Banco Santanders General Shareholders Meeting drafting of the Annual Report support to investors relations team etc.

What are we looking for

EDUCATION:

  • Qualification as Lawyer.

  • Membership in good standing of the Bar Order of Attorneys or similar attorney licensing body.

  • Excellent level in Spanish and English (C1.

EXPERIENCE:

  • Minimum of 7 years experience in M&A general corporate other finance activities (e.g. equity and debt capital markets) corporate governance and regulatory matters on financial services in a topnotch law firm inhouse legal team or governmental entity.

  • Team player skills.

DESIRABLE:

  • Qualification as US / UK lawyer.

  • Foreign LLM.

  • Business and finance degree post graduate studies or education.

  • Experience in coordinating and having a lead role in the structuring and of M&A (and other corporate finance) transactions which involve different players / jurisdictions.

  • Experience in dealing with listed/banking entities and with regulatory matters on financial services generally.

  • International / crossborder legal experience.

  • Experience as company secretary or managing the secretariat function.

  • Portuguese.
