The Role

As Legal Counsel you will play a leading role in being the face of the legal function. You will be expected to coordinate and act as a trusted adviser on key projects across the business. You will have an opportunity to apply your expertise to further enhancing Kriyas strategy processes and products.

We are looking for a driven determined and adaptable solicitor with at least 2 years PQE who is excited by our mission to provide an Enterprise PayLater solution and other marketleading merchant services. You will be responsible for providing bestinclass legal advice to the Companys senior leadership team and multiple internal stakeholders including the capital markets product sales marketing risk finance and HR teams.

The role will be broad and the successful candidate can be expected to hit the ground running within their existing areas of expertise.

What youll be doing:

  • Advising on the full range of commercial agreements including marketing arrangements contractual joint ventures master service partnership brokerage investment and distribution agreements as well as vendor SaaS and other supplier contracts.
  • Advising on structured finance transactions and securitisations used to fund business loan portfolios and product offerings.
  • Maintaining and updating product terms and conditions relating to the Companys lending products.
  • Advising on guarantee security and subordination arrangements for business loan and invoice finance customers.
  • Advising on equity fundraisings shareholders agreements and managing legal and regulatory due diligence.
  • Corporate governance matters including board minutes resolutions and maintaining company filings with Companies House.
  • Maintaining and updating the Companys policies and procedures including compliance and data protection.
  • Participating in the management of the Companys Share Options Incentive Scheme.
  • Advising on enforcement actions including letters before action.
  • Supervision and mentoring of paralegals and junior staff
  • Deliver training to other areas of business and maintain the highest standards of compliance.
  • Liaising with and instructing external advisers on a broad area of legal disciplines including litigation employment data protection intellectual property and financial regulation.


Requirements
  • Minimum 2 PQE obtained working within the corporate or banking department of a top tier law firm. Additional relevant inhouse experience will be advantageous.
  • Strong attention to detail and analytical skills
  • Excellent commercial awareness
  • Proven ability to successfully projectmanage complex transactions with multiple critical paths and moving parts.
  • Excellent organisational skills and ability to multitask in a fastpaced environment
  • Team player with a collaborative attitude and excellent communicator with all levels of stakeholders
  • Selfstarter who continually strives for improvement and is eager to immerse him or herself into a new business environment new areas of practice and the FinTech industry.
