Job Description

Corporate Senior M&A Attorney New Jersey

Our client a highly regarded law firm is seeking an experienced Corporate Senior M&A Attorney with 5 years of sophisticated experience in M&A transactions corporate governance and commercial law. This is an excellent opportunity for a motivated and businesssavvy attorney to play a key role in advising clients on complex M&A transactions ensuring legal compliance and providing strategic counsel in collaboration with an established corporate team.

Key Responsibilities:

  • Provide expert legal counsel on a wide range of corporate and commercial matters including business formations governance compliance contracts and M&A transactions
  • Manage the full lifecycle of M&A transactions from due diligence through postclosing integration
  • Draft review and negotiate key transaction agreements including:
    • Purchase agreements
    • Shareholder agreements
    • Merger agreements
  • Oversee and maintain transaction documents and agreements ensuring a comprehensive legal record
  • Work closely with clients and internal teams to align legal strategies with business objectives
  • Collaborate with crossfunctional teams to provide comprehensive legal services to corporate clients

Qualifications:

  • Juris Doctor (JD) from an ABAaccredited law school
  • Bar admission in New Jersey (NY admission is a plus)
  • Minimum of 5 years of sophisticated corporate/M&A experience preferably in a BigLaw or reputable corporate law firm
  • Exceptional negotiation drafting and communication skills
  • Highly selfmotivated with strong analytical and critical thinking abilities
  • Ability to work under pressure manage multiple projects and meet strict deadlines
  • Strong commercial and business acumen with a focus on providing practical clientfocused solutions
  • Excellent interpersonal skills with a proven ability to build and maintain strong client relationships
  • Teamoriented mindset with the ability to collaborate and lead when necessary
  • Proficiency in Microsoft Office and experience with document management and accounting software
