Position Purpose and Summary
The Office of the General Counsel and Compliance reports directly to the Sororitys International President and Executive Director and works with the support of the National Legal Advisor and Council of Legal Advisors. The Office supports the operations of the Sororitys National Headquarters Board of Directors and Executive Committee. The Assistant General Counsel Membership Governance and Compliance supports the General Counsel and Chief Compliance Officer and Deputy General Counsel in the management of the Sororitys diverse legal needs including matters related to corporate governance board actions risk management and compliance issues and membership and disciplinary matters.
Duties and Responsibilities
Assists with management of the Sororitys corporate governance including preparation and filing of entity formations dissolutions resolutions annual reports appointments powers of attorney and other statutory filings or subsidiary documents.
Assists in the coordination and preparation of materials for Board of Directors meetings including agendas resolutions form of minutes and other documentation as requested.
Assists the National Secretary in ensuring codification and retention of board actions and official records of board meetings.
Assists with the review and drafting of corporate policies including but not limited to the Sororitys Policy on Policies Code of Conduct Constitution and Bylaws employment policies/procedures and other riskmanagement and compliance materials as assigned.
Assists in the development and implementation of bestinclass organizational and department policies procedures and processes to mitigate risks.
Assists and provides support in the rewrite of the Sororitys disciplinary action and appeals process.
Assists in the research of current and emerging regulatory requirements and corporate best practices applicable to nonprofit organizations as well as affiliates if applicable.
Assists in the review and/or coordination of materials and presentations for Regional Conferences and National Conventions as necessary.
Coordinates with designated outside counsel on corporate governance and compliance matters as directed.
Researches and drafts legal memoranda.
Supports the Council of Legal Advisors.
Performs duties outside of the office setting and outside of normal work hours when required to attend evening meetings and to meet deadlines as assigned.
Supervises legal interns and/or law clerks.
Other duties as assigned.
Minimum Qualifications (Knowledge Skills and Abilities)
Juris Doctorate degree from an accredited law school or university.
Prior working experience in a law firm governmental or inhouse setting accustomed to handling a high volume of projects.
Admitted to or qualifies for admission to the District of Columbia Bar.
Overall broad legal knowledge (i.e. commercial law corporate law litigation risk management).
Working knowledge of social media platforms and operational processes.
Excellent written and verbal communications skills.
Organized detailoriented and strong followup skills.
Motivated selfstarter who can work independently and as part of a team as needed.
Ability to handle multiple tasks take on new responsibilities and prioritize work in a dynamic often deadlinedriven environment.
Computer proficiency including use of Microsoft products.
Ability to work effectively with the International President board members leadership department staff coworkers and vendors.
Must be able to travel as necessary for major events where staff participation is required.
Relocation assistance is not available. Must reside within a 50mile radius of National Headquarters within six 6 months of start date.
Proof of comprehensive COVID19 vaccination required.
Qualifications Considered a Plus
Experience working in a corporate legal department and/or law firm.
Experience working for a nonprofit organization.
Technology proficiency that includes BrandShield iMIS and/or Microsoft SharePoint/Teams.
