Job Description
Growing Law Firm in South Florida offices looking for an associate to join its busy corporate practice. Ideal candidate will have 46 years of experience in general corporate practice. Candidate should be able to draft documents incidental to formation and ongoing business operations (including shareholders and operating agreements); advise on corporate governance matters (including drafting resolutions preparing board and committee meeting materials and agendas and maintaining corporate records); prepare public company disclosure documents (including Forms 8K 10Q 10K proxy statements and Section 16 filings); counsel public and private companies with respect to securities offerings (including handling private equity and venture capital work registered public offerings and private placements); assist with M&A strategic and other corporate transaction (including drafting primary deal documents nondisclosure agreements letters of intent and other ancillary dealrelated agreements and managing due diligence); and have experience in crossborder transactions. Strong academics (top U.S. law school) and large law firm experience preferred. Fluency in Spanish and/or Portuguese desired. Florida bar required or ability to become admitted to Florida.
