Job Description

Were looking for a Senior Legal Counsel Treasury to join us in London

This role serves as an adviser proving insightful accurate effective and timely legal advice on leveraged finance and other debt related transactions including acquisition financings refinancing transactions new money capital market transactions and complex corporate reorganisations

A successful person in this role will partner with the business to analyse complex legal issues to deliver successful transaction mitigate risk and deliver business growth and performance through collaboration with the broader team in a global dynamic and fast paced organisation through effective management of the legal aspects of a wide range of financing transactions (including syndicated term loan financing revolving credit facilities high yield bonds infrastructure financing project financing derivative transactions and the treasury related aspects of M&A transactions).

What will you be doing

  • Working in a global entrepreneurial and highly dynamic and driven environment focused on highest standards of corporate finance and delivery

  • Working collaboratively in large multijurisdictional teams involving experts in the wider Liberty Global Legal team (based across London Amsterdam and Denver) and other Liberty Global functions including Treasury M&A Tax Accounting/Finance Reporting and operational business teams

  • Responsibility for providing advice to and obtaining commercial input from the Treasury team as well as other Liberty Global functions

  • Partners with the business identifying risk and escalating where appropriate (recommending mitigation strategies and implementing solutions)

  • Stays up to date with legal developments supports team in maintaining and developing know how precedents and training materials

  • Day to day responsibility for managing the legal aspects of transactional activity including advising on structuring negotiation and of transaction documents treasury related due diligence managing external counsel and assisting with internal covenant compliance investor queries and Treasury related aspects of external financial reporting

  • With appropriate external counsel support assisting with drafting and negotiating relevant transaction documents including term sheets facility agreements intercreditor agreements note purchase agreements offering memorandums indentures ESG provisions commitment and fee letters security documents ISDAs treasury aspects of shareholder agreements and share purchase agreements and intercompany agreements

KNOWLEDGE & EXPERIENCE

  • Degree level education / relevant professional qualifications in law

  • Excellent communication and project management skills

  • Solutions orientated and able to simplify complex matters

  • Selfsufficient comfortable working autonomously as well as in crossfunctional and crossjurisdictional teams and proactive in proposing commercial solutions to clients and colleagues; acts as business adviser

  • Dynamic and proficient in managing multiple material matters at any one time able to manage stress and to work calmly and quickly under pressure

  • Strong commercial acumen together with the ability and creditability to form effective client relationships across all levels including senior levels of management.

  • Telecoms/infrastructure/media/tech experience is an advantage but not a requirement

  • Selfknowledge ability to know own limits and to manage these

  • Strong moral/ethical convictions
