Job Description
Top seeks a junior associate to join its dynamic Financial Services Practice. The ideal candidate will have 23 years of experience in project finance including plain vanilla project financings tax equity bridge loans backleverage financings or preNTP financings. Both Lender and Borrowerside experience acceptable. Candidate should be familiar with drafting credit facilities depositary accounts agreements letters of credit and performance and payments bond. Candidate should also be familiar with balance of plant agreements supply agreements (i.e. transformer supply agreements module supply agreements BESS supply agreements turbine supply agreements and inverter supply agreements) and offtake and tolling agreements. Candidate should have experience drafting and closing security documents (i.e. security agreements pledge agreements financing statements and control agreements) NYlaw legal opinions direct agreements/ consents to collateral assignments and reliance letters. Candidate should have experience drafting due diligence reports and preparing bankability analysis on project documents.

Job Requirements:
- 23 years of experience in project finance (lender or borrower side).
- Familiarity with LSTA Credit Agreements New York lawgoverned Security Documents and Project Documents (i.e. EPC Contracts Offtake Agreements Supply Agreements and Reliance Letters).
- Entrepreneurial and team player.
- Ability to work independently and collaboratively in a fastpaced environment.
- Strong academic credentials.
* The position may be filled inNew York Miami Dallas Houston Austin or Washington DC. The candidate must reside and be licensed or ready to become licensed to practice law in one of these jurisdictions. In accordance with the New York State PayTransparency Law New York City Human Rights Law the Colorado Equal Pay Act and the California Pay Transparency Law the pay range for this position in New York State New York City Colorado and California is $235000 $260000max/yr. This range is specific to these locations and may not be applicable to other locations. An individuals actual compensation will depend on the individuals qualifications and experience.
