Job Summary

Our client a well-established business law firm in downtown Vancouver is seeking an experienced Corporate Paralegal to join their team. This is a key role providing support to a busy and dynamic corporate practice.

This position is well suited to a detail-oriented high-performing professional who enjoys both independent work and collaboration and thrives in a fast-paced environment with a variety of responsibilities.


Key Responsibilities

Transactional & Corporate Work:

  • Assist with corporate transactions including reorganizations mergers and acquisitions joint ventures and dissolutions
  • Prepare and review corporate documents including resolutions and governance materials
  • Conduct due diligence searches (e.g. corporate registries land title and other databases)
  • Coordinate execution and closing of transactions including preparation of closing documents and digital records
  • Draft edit and format legal documents agreements and correspondence

Corporate Records & Maintenance:

  • Maintain and update corporate records including minute books (physical and digital)
  • Assist with ongoing corporate maintenance matters such as annual filings changes in directors/officers and transparency registers
  • Prepare and distribute documents for execution including through electronic signature platforms
  • Communicate with clients regarding corporate matters

General Support:

  • Provide support and coverage for other team members within the corporate group
  • Assist with firm-wide projects and initiatives as required

Qualifications & Experience
  • 35 years of experience as a Corporate Paralegal in a law firm environment
  • Completion of an accredited Paralegal program
  • Strong experience in corporate and commercial law; securities or real estate experience is an asset
  • Ability to manage files independently from start to finish with minimal supervision
  • Proficiency with legal and business software applications (e.g. Microsoft Office document management systems e-signature platforms and registry systems)
