Job Description for Company Secretary

We are looking for an experienced Company Secretary who would be the managers and company executives right hand. As Company Secretary you will be instrumental in helping the office run smoothly and provide support to managers seniorlevel executives and departments. Youll need to ensure that our company complies with financial and legal requirements and maintain high standards of corporate governance. You also need to have a thorough understanding of the laws that affect your areas of work so that you are equipped to provide appropriate legal advice whenever needed.

Responsibilities of a Company Secretary

  1. A company secretarys core duties include optimizing workflow procedures in the office assisting colleagues and executives in planning and distributing information and being the point of reference for all queries requests or issues. Additionally as a company secretary youll need to
  2. Report to the chairman and often liaise with board members.
  3. Prepare agendas and papers for board meetings committees and annual general meetings (AGMs) and follow up on action points.
  4. Convene and service AGMs take minutes draft resolutions and lodge required forms and annual returns with appropriate departments.
  5. Handling of all ROC compliance under the Companies Act 2013.
  6. Initiate drive process rigor and accuracy execute and manage compliance under Corporate & Other Laws
  7. Strong Knowledge of company Act SEBI takeover code listing Agreement with stock exchange FEMA.
  8. The candidate will also have exposure in FEMA SME IPO/Mainboard IPOIBC and valuation services.
  9. Provide legal financial and/or strategic advice during and outside of meetings.
  10. Ensure policies regulatory or statutory changes that might affect the organization are up to date and approved by the committee.
  11. Maintain statutory books including registers of members directors and secretaries.
  12. Handle correspondence collate information write reports and communicate decisions to relevant company stakeholders.
  13. Liaise with external regulators and advisers such as lawyers and auditors.
  14. Implement processes or systems to ensure good management of the organization.
  15. Develop and oversee the systems that ensure the company complies with all applicable codes in addition to its legal and statutory requirements.
  16. Pay dividends to shareholders and manage share option schemes opted by various shareholders.
  17. Take an active role and provide valuable input to management decisions related to Share issues mergers and takeovers etc…
  18. Compliance with requirements of RBI
  19. Various E Forms for intimation approval to RoC/Central Governmen
  20. Filing Forms Allotment intimating RBI etc. At the time of issue of shares/transfer
Requirements
  1. Qualified graduate and member of the Institute of Company Secretaries of India with approximately 5 to 7 years of experience Preferably inhouse experience with the above responsibilities.
  2. Experience in communicating with senior level personnel.
  3. Demonstrated ability to implement processdriven solutions to Company Secretarial issues.
  4. Good verbal and written communication skills
  5. A flexible and practical approach to work.
  6. Discretion when handling confidential information.
  7. Maintain diplomatic approach towards issues.
  8. Confidence to provide support to high profile company staff and board members.
