Job Summary

Sr Counsel Privacy and Technology

The Senior Counsel Privacy & Technology serves as a strategic legal advisor responsible for providing counsel on privacy data protection cybersecurity artificial intelligence technology transactions and digital innovation initiatives. This role partners closely with Legal Information Security IT Product HR Compliance and business leaders to ensure compliance with applicable privacy laws and regulations while supporting business growth and technology adoption.

Essential Functions                                                         

  1. Provide legal counsel on privacy data protection cybersecurity artificial intelligence and technology related matters.
  2. Advise business leaders on compliance with applicable privacy and data protection laws and regulations.
  3. Draft review and negotiate technology software cloud services data-sharing and vendor agreements.
  4. Partner with cross-functional stakeholders to identify assess and mitigate privacy and technology risks.
  5. Support cybersecurity incident response activities including breach assessment notification and regulatory compliance requirements.
  6. Develop implement and maintain privacy policies standards governance frameworks and related compliance programs.
  7. Conduct legal reviews of new products technologies data initiatives and digital transformation projects.
  8. Monitor emerging laws regulations and industry developments related to privacy cybersecurity AI and technology and provide practical guidance to stakeholders.
  9. Manage regulatory inquiries audits investigations and outside counsel related to privacy and technology matters.
  10. Deliver risk based legal guidance and training to support business objectives while protecting the organizations legal and regulatory interests.
  11. Support special projects and process improvement initiatives while maintaining confidentiality of sensitive information.                                                                     
  12. Model behaviors that support the companys common purpose; ensure guests and team members are supported at the highest level.                                                                        
  13. Complete other duties as assigned.                                                                                   

Qualifications :

  • Juris Doctor (J.D.) degree from an accredited law school required.
  • Active license to practice law in the state of Tennessee or registration with the Tennessee Board of Law Examiners if not licensed in the state of Tennessee 
  • Bachelors degree required.
  • Minimum of 8 years of legal experience with significant focus on privacy data protection cybersecurity technology transactions and regulatory compliance.
  • Experience advising organizations on U.S. privacy laws data governance cybersecurity matters and technology-related legal risks.
  • Demonstrated experience drafting reviewing and negotiating complex commercial and technology agreements including SaaS cloud services software licensing data-sharing and vendor contracts.
  • Experience supporting cybersecurity incident response data breach investigations and regulatory reporting requirements.
  • Proven ability to partner with executive leadership and cross-functional teams to develop practical business-focused legal solutions.
  • In-house counsel experience supporting technology healthcare financial services retail or other highly regulated industries preferred.
  • Experience advising on artificial intelligence digital innovation and emerging technology initiatives preferred.
  • This position requires candidates to be legally authorized to work in the United States without employer sponsorship

Specialized Knowledge      

  • Deep knowledge of U.S. privacy and data protection laws
  • Strong understanding of cybersecurity laws incident response protocols and information security governance practices.
  • Knowledge of technology contracting software licensing cloud computing intellectual property and digital services.
  • Familiarity with legal regulatory and governance considerations related to artificial intelligence and emerging technologies.
  • Exceptional contract drafting negotiation and risk assessment skills.
  • Strong business acumen with the ability to balance legal requirements and operational objectives.
  • Excellent communication stakeholder management and influence skills.
  • Ability to manage multiple complex matters independently in a fast-paced environment while exercising sound legal judgment.
  • Strong analytical problem-solving project management and decision-making capabilities.
