Join Our Team as an M&A Lawyer at Axiom

Location: San Francisco or Chicago

We are currently seekingM&A Lawyers to work with our F500 client base across multiple industries. Ideal candidates will have a strong background in M&A law with a proven track record of successfully managing and executing complex M&A transactions. Ideal candidates would be located in San Francisco or Chicago. This is an existing vacancy.

Responsibilities:
  • Advise clients on all aspects of M&A transactions including deal structuring due diligence negotiation drafting and closing of purchase and sale agreements merger agreements and other related documents.
  • Draft review and negotiate a wide range of transactional documents including purchase merger confidentiality and disclosure agreements.
  • Coordinate activities of large deal teams and internal and external stakeholders from due diligence through closing and integration to facilitate seamless deal execution
  • Conduct and coordinate due diligence investigations to identify potential legal risks and provide strategic guidance to clients on mitigating those risks.
  • Collaborate with cross-functional teams including finance tax regulatory and compliance experts to ensure seamless execution of M&A transactions and integration processes.

Qualifications:
  • Possess an active bar license in the state in which you reside.
  • Minimum 3 years of experience practicing as an M&A attorney at an AmLaw firm or F500 in-house legal department with a focus on handling complex M&A transactions.
  • Experience working on mergers acquisitions joint ventures divestitures private equity or fund investments either at an law firm or in an in-house legal team.
  • Strong knowledge of federal and state corporate and securities laws regulations and practices related to M&A transactions.

Preferred Skills:
  • Experience advising clients in a variety of industries including technology healthcare energy and financial services on M&A transactions.
  • Demonstrated ability to manage multiple high-stakes transactions simultaneously with excellent project management negotiation and communication skills.
  • Familiarity with private equity and venture capital transactions including portfolio company acquisitions and dispositions.

Compensation:

The estimated total compensation for full-time Axiom attorney roles is $00 per year and for non-attorney roles is $ per year.Compensation decisions are based on various factors including but not limited to experience skills certifications location and business needs.
