Job Summary

Job Overview:

The Executive and Equity Compensation Manager serves as a key subject matter expert responsible for the administration governance analysis and ongoing support of the Companys executive and equity compensation programs. This role partners closely with Human Resources Legal Finance Payroll Tax Treasury senior leadership and external service providers to ensure executive and equity compensation programs are administered effectively remain compliant with applicable regulations and align with the Companys compensation philosophy and business objectives.

Key responsibilities include analyzing and modeling executive compensation programs; developing recommendations and materials to support senior leadership Board of Directors and Management Development and Compensation Committee decision-making; overseeing the end-to-end administration of equity compensation programs and related processes; supporting executive and equity compensation communications; maintaining the integrity of compensation and equity data and records; managing relationships with external vendors and advisors; and supporting regulatory governance compliance and disclosure requirements related to executive and equity compensation programs.

Summary of Responsibilities:

  • Support the design analysis modeling and evaluation of executive compensation programs.
  • Serve as the primary administrator for equity compensation programs managing the end-to-end lifecycle of equity awards including grant processing vesting events distributions terminations corporate actions participant transactions and related reporting and compliance activities.
  • Develop and deliver executive and equity compensation communications training and educational materials and respond to participant inquiries regarding compensation programs and equity plans.
  • Maintain the integrity accuracy and completeness of employee and equity data within company and stock administration systems including reconciling and monitoring equity share pool balances in partnership with Accounting Treasury and Payroll.
  • Collaborate with cross-functional stakeholders including Payroll Legal Finance Tax and HR on executive or equity compensation matters.
  • Lead cross-functional projects supporting enhancements to equity administration executive compensation programs reporting capabilities and governance processes.
  • Prepare reports analyses presentations and other materials for internal stakeholders senior leadership the Board of Directors and the Management Development and Compensation Committee and respond to ad hoc audit and external requests.
  • Manage the ongoing relationship with the Companys equity administration platform (Fidelity) and other external service providers.
  • Support executive compensation governance and disclosure activities including preparation of Section 16 filings (Forms 3 4 and 5) executive compensation disclosures and annual proxy statement materials.
  • Support the development and maintenance of processes controls and compliance programs related to SOX requirements internal controls and insider trading governance including blackout periods pre-clearance requirements and participant communications.
  • Support compliance with US and international tax regulations related to equity compensation programs coordinating with external advisors as needed.
  • Identify opportunities to improve program effectiveness operational efficiency participant understanding and compliance outcomes.
  • Provide broader support for executive compensation programs including executive offer development compensation modeling and annual executive compensation planning activities.
  • Perform other duties and responsibilities as assigned.

Qualifications (Minimum Required):

  • Education level: Bachelors Degree.
  • Experience administering a variety of equity compensation programs across multiple jurisdictions.
  • Experience supporting executive compensation disclosures and regulatory filings including proxy statement disclosures and Section 16 reporting.
  • Working knowledge of U.S. and international tax considerations related to executive and equity compensation.
  • Strong commitment to confidentiality data privacy and compliance including GDPR requirements.
  • Experience supporting processes systems and controls in a SOX-compliant environment.
  • Demonstration of a high degree of accuracy and attention to detail
  • Strong critical thinking and analytical skills
  • Ability to interact with employees and executives at all levels.
  • Strong knowledge of Microsoft Office particularly Excel
  • Excellent written and oral communication skills

Experience (Minimum Required):

  • 5 years of relevant compensation experience including executive compensation and equity administration.

Preferred Qualifications Include:

  • Certified Compensation Professional (CCP) preferred
  • Certified Equity Professional (CEP) designation (Level 2 or 3) preferred.

Physical Demands / Work Environment:

Work Environment:

  • Work is performed in an office environment with exposure to electrical office equipment.
  • Occasional drives to site locations with occasional travel both domestic and international.

Physical Requirements:

  • Frequently stationary for 6-8 hours per day.
  • Repetitive hand movement of both hands with the ability to make fast simple repeated movements of the fingers hands and wrists.
  • Occasional crouching stooping with frequent bending and twisting of upper body and neck.
  • Ability to access and use a variety of computer software developed both in-house and off-the-shelf.
  • Light to moderate lifting and carrying or moving of objects including luggage and laptop computer with a maximum lift of 15-20 lbs.
  • Regular and consistent attendance.
  • Varied hours may be required.

This is a hybrid role with the expectation to work within our Durham headquarters 3 days each week.

Pay Range: $105000-$125000 (The range does not include benefits and if applicable bonus commission or equity)
