Job Summary
The Division of Corporation Finance Disclosure Review Program (DRP) is seeking an early career Law Clerk (Disclosure Review Law Clerk) with strong analytical skills and attention to detail. The DRP is organized as nine Industry Offices. As a Law Clerk you will assist on a variety of matters within one of the nine Industry Offices in the DRP.
In this role as a Law Clerk you will be responsible for:
- Interpreting registration and reporting requirements of the Securities Act and the Exchange Act.
- Reviewing filings and reports required by the Securities Act including initial public offerings and the Exchange Act and available exemptions from the registration requirements of the Securities Act.
- Developing ideas and recommendations addressing significant issues under the Federal securities laws.
- Recognizing analyzing and resolving complex disclosure issues in registration statements and periodic reports filed with the Commission.
- Drafting and editing precise and well-organized documents such as examination reports and letters detailing findings.
- Working directly with corporate officers underwriters public accounting firms and counsels.
- CITZENSHIP: You must be a US Citizen.
- SELECTIVE SERVICE: Males born after 12/31/59 must be registered or exempt from Selective Service (see CLEARANCE: Entrance on duty is contingent upon completion of a pre-employment security investigation. Favorable results on a Background Investigation may be a condition of employment or selection to another position.

- PERMANENT CHANGE OF STATION (PCS): Moving/Relocation expenses are not authorized.
- DIRECT DEPOSIT: All Federal employees are required to have Federal salary payments made by direct deposit to a financial institution of their choosing.

- Appointments for Law Clerks are for 14-months pending bar association admission. Failure to do so will result in termination. Participants may be converted to an entry-level attorney position after admittance to a state bar association.

Qualifying experience may be obtained in the private or public sector. Experience refers to paid and unpaid experience including volunteer work done through National Service programs (e.g. Peace Corps AmeriCorps) and other organizations (e.g. professional philanthropic religious spiritual community student social). Volunteer work helps build critical competencies knowledge and skills and can provide valuable training and experience that translates directly to paid employment. You will receive credit for all qualifying experience including volunteer experience. All qualification requirements must be met by the closing date of this announcement.

- Bar Certification: To be considered for this position applicants must not be barred/licensed on the closing date of this vacancy announcement but must be able to obtain their Bar/License Certification within 14-months of their appointment.
