We are looking for aDirector Legal Commercial Development and Project Financing to join our team in one of todays most exciting role willreporttoVP Legal Commercial Development and Project Financingand based inSan Jose is a fully on-site in officerole5 days a week.
Role and Responsibilities:
This individual will be engaged on a variety of finance commercial service project development and asset management issues in Bloom Energys rapidly growing operations worldwide. This position will report to the VP Legal Commercial Development and Project Finance and will be located at headquarters in San Jose California.
Bloom Energy is an entrepreneurial venture and the person must have the ability to act independently operate proactively and have a passion and appreciation for the vision and mission of the Company.
The workload will include:
- Drafting and negotiating commercial agreements such as master supply agreements equipment lease agreements power purchase agreements NDAs and related documentation.
- Drafting and negotiating project financing transactions including portfolio financings with all supporting documentation.
- A need for familiarity with financed construction contracts.
- Providing concise and thoughtful legal advice on commercial and project development issues and issues relating to the broader corporate landscape.
- Providing counsel to the Companys project finance and project development teams.
- Interfacing with cross-functional stakeholders including sales commercial operations and structured finance to optimize contractual outcomes with technical and operational considerations.
- Providing training on substantive legal issues including emerging areas of risk.
- Researching and providing guidance on regulations policies and proposed legislation affecting business priorities in the commercial and finance sectors.
- Providing thought leadership to project finance and project development stakeholders both within and outside the Company.
- A need for some experience working internationally.
Education and Experience:
- J.D. from a top law school and good standing with at least one U.S. State Bar.
- 5 years transactional experience with top law-firm or 4 transactional experience with top law firm together with 2 years in-house transactional experience.
- Project Financing commercial contracting and project development experience with a background in the renewable energy industry.
- Experience developing and structuring bespoke arrangements. Experience representing developers and generators including in the utility and/or C&I markets.
- Outstanding business acumen decisive critical thinking skills and subtle professional confidence.
- Proven ability to effectively manage multiple projects with shifting priorities work independently and operate in a fast-paced dynamic and matrixed environment.
- Excellent written verbal and interpersonal communication skills.
