Job Summary
ABOUT THE ROLE
A sophisticated Los Angeles corporate practice is seeking a mid-level associate to advise companies founders investors and private equity clients on M&A and broader strategic transactions. The work spans acquisitions dispositions investments financings and ongoing corporate matters with associates taking meaningful responsibility for transactions rather than remaining confined to diligence or isolated drafting assignments. You will work directly with partners and clients manage significant portions of deals and develop the commercial judgment required to eventually lead transactions independently. Compensation ranges from $225000-$375000 depending on experience.
WHAT YOULL DO
- Represent buyers sellers investors companies and other clients in mergers acquisitions dispositions investments and strategic transactions
- Draft and negotiate purchase agreements disclosure schedules ancillary agreements and other transaction documents
- Manage transactions from initial structuring and due diligence through signing closing and post-closing matters
- Coordinate transaction execution with clients opposing counsel specialists accountants and other advisors
- Advise companies on corporate governance commercial arrangements financings and other general corporate matters
- Take increasing responsibility for negotiations deal management and direct client relationships
WHAT WERE LOOKING FOR
- J.D. from an accredited law school and admission to the California Bar
- 37 years of corporate transactional experience at a law firm
- Meaningful experience with M&A or other sophisticated corporate transactions
- Strong drafting negotiation analytical and transaction-management skills
- Private equity emerging company venture capital or other strategic transactional experience is a plus
- Ability to manage multiple transactions while communicating effectively with clients and senior attorneys
