A nationally recognized AmLaw 100 firm is seeking a Corporate Associate Attorney to join its Chicago office.

This opportunity is ideal for an attorney interested in advising privately held and publicly traded companies on a broad range of corporate transactions governance matters mergers and acquisitions financings and day-to-day business counseling.

36 years of sophisticated corporate transactional experience gained at a law firm

Experience representing public and private companies founders investors lenders and private equity sponsors

Experience handling mergers and acquisitions corporate restructurings entity formations reorganizations and strategic business transactions

Experience drafting and negotiating asset purchase agreements stock purchase agreements merger agreements operating agreements shareholder agreements and other corporate transaction documents

Experience advising clients on corporate governance entity management board matters and general corporate compliance

Experience conducting legal due diligence and managing transaction closings

Experience with commercial contracts financing transactions securities matters or private equity transactions is a plus

Strong drafting negotiation analytical and client counseling skills

Ability to independently manage sophisticated transactions while maintaining significant client interaction

Excellent academic credentials

J.D. from an ABA-accredited law school required

Illinois bar admission required or ability to become admitted

Broad-based corporate practice with sophisticated transactional work
