Position Summary:
Reports to the Vice President Legal & General Counsel. Responsible for providing broad legal support to the General Counsel company leadership and the human resources department on corporate real estate public records employment law and other legal matters affecting company operations. The position supports contract drafting and review corporate governance real estate transactions records requests employment law counseling policy development workplace investigations administrative agency matters and related legal projects. The position exercises discretion judgment and initiative in support of the Legal & Risk Management department and company leadership.
Essential Functions:
- Provide legal advice and support to the Vice President Legal & General Counsel on corporate operational regulatory employment and strategic matters.
- Draft review negotiate and administer contracts amendments service agreements nondisclosure agreements releases notices and related legal documents.
- Support corporate governance matters including subsidiary management corporate records resolutions consents annual filings and recordkeeping.
- Support acquisitions divestitures financing restructuring corporate transactions diligence reviews closing checklists and post-closing legal matters as assigned.
- Conduct legal research and prepare memoranda correspondence policies legal analyses and practical recommendations for internal business clients.
- Assist with litigation management discovery responses litigation holds document preservation subpoenas outside counsel coordination and settlement documentation.
- Draft review and negotiate leases amendments estoppels easements purchase and sale agreements notices and other real estate documents.
- Support real estate acquisitions dispositions leasing title survey environmental zoning landlord-tenant and facility-related legal matters.
- Serve as a legal resource to the human resources department and management on employment law matters involving employee relations discipline accommodations leaves of absence wage and hour issues restrictive covenants workplace investigations and employee separations.
- Review and draft employment agreements separation agreements confidentiality agreements workplace policies handbook provisions training materials and human resources policies and procedures.
- Assist with responses to administrative agency charges audits unemployment claims demand letters and other employment-related inquiries including EEOC state fair employment agency wage and hour and labor matters.
- Monitor developments in federal state and local employment laws and advise human resources and management regarding compliance obligations and recommended policy or practice changes.
- Coordinate and manage public records requests subpoenas regulatory inquiries and other requests for company records or information.
- Review records for responsiveness privilege confidentiality privacy protections trade secrets contract restrictions and applicable exemptions before production or disclosure.
- Work with internal departments and facilities to collect organize review and produce documents in a timely and defensible manner.
- Develop and maintain legal templates forms playbooks trackers records request procedures and contract management standards.
- Participate in legal department workflow improvements legal operations projects matter management SharePoint organization reporting and outside counsel coordination.
- Maintain effective working relationships with Human Resources Finance Operations Risk Management corporate departments facilities outside counsel vendors and company leadership.
- Maintain confidentiality and exercise sound professional judgment in all legal employment corporate and business matters.
- Provide timely practical business-oriented legal support while appropriately escalating significant legal risks to the General Counsel.
- Maintain proficiency in Microsoft Office 365 (Word Excel Teams SharePoint PowerPoint) Adobe Sign Oracle Workforce legal research platforms contract management tools and other corporate and departmental systems.

- It is expected that the incumbent shall perform other duties as assigned within their capabilities as determined by management.
Education and Experience Requirements:
Juris Doctor (J.D.) from an accredited law school required. Active membership and good standing in at least one state bar required; ability to become admitted or authorized to practice in Utah preferred if not already admitted. One to three years of relevant legal experience in-house and/or with a law firm preferred with meaningful experience in employment law or corporate legal matters. Experience supporting a multi-state employer commercial contracts real estate matters public records requests corporate governance litigation management or highly regulated operations preferred. Must have excellent verbal and written communication skills strong judgment high attention to detail sound business sense and the ability to handle confidential and sensitive information with discretion. Must be able to manage multiple priorities work independently collaborate effectively with Human Resources and business leaders and provide practical legal guidance in a fast-paced environment. Unless waived by management maintain a valid drivers license in the state of employment with an acceptable driving record and be willing and able to travel as business needs require.
