Associate General Counsel

Job ResponsibilitiesResponsible for providing support to the General Counsels office for their negotiation of investment management agreements and private fund subscription agreementsReview and negotiation of vendor contracts review and negotiation of non-disclosure agreements legal research fund formation and dissolutionReview and drafting of regulatory and client disclosure (15(c) questionnaires RFPs Form ADV) and marketing and advertising review; assisting with regulatory audits general corporate work and under the supervision of the Assistant General CounselsParticipating in special projects such as new product development subsidiary openings and dissolutions and foreign registrationsLeveraging knowledge of legal framework applicable to registered investment advisers including Investment Advisers Act of 1940 Investment Company Act of 1940 Securities Act of 1933 Securities Exchange Act of 1934 CFTC Rules and Regulations and ERISA as well as general corporate law to perform legal analysisProviding legal analysis to senior lawyers in connection with their advice on day-to-day investment management activities such as investment management agreements trading-related agreements private fund formation and investment documents and general corporate and governance mattersSupporting all legal aspects of Loomiss separate account private fund SMA/wrap group trust and sub-advisory relationships; providing initial interpretations of statutes rules and policies applicable to the businessWorking closely with colleagues in the General Counsels office to meet the firms business objectives within the local regulatory environmentInterpreting laws rulings and regulations for individuals and businessesPreparing drafting and reviewing legal documentsQualifications & Education RequirementsJuris Doctor degree plus one (1) year of experience as an Associate General Counsel or related position in the investment management legal and regulatory must include (quantitative experience requirements not applicable to this section):Member of the bar in Massachusetts or other U.S. stateLegal framework applicable to registered investment advisers including Investment Advisers Act of 1940 Investment Company Act of 1940 Securities Act of 1933 Securities Exchange Act of 1934 CFTC Rules and Regulations and ERISAExperience in corporate lawAdditional RequirementsThe position follows a hybrid schedule with two days work from home and three days work from Sayles is committed to offering competitive and equitable compensation. The salary range for this position is $162225 - $220000 USD. Your starting salary will be based on your experience skills qualifications and local benchmarking.
