Location:Nashville TN or Chicago IL. This is a flexible hybrid opportunity with the ability to work from either office location.

Note:Candidates must be 3rd-year attorneys or above with 2 years of sophisticated corporate transactional experience and 2 years of M&A deal experience. An active U.S. bar license in good standing J.D. from an accredited law school and strong academic credentials are required.

Job Description

  • Advise public and private companies on sophisticated corporate and transactional matters.
  • Represent clients in mergers acquisitions dispositions and other complex M&A transactions.
  • Support private equity firms portfolio companies and other private companies through significant transactions.
  • Assist public companies with sophisticated corporate and securities matters.
  • Draft review and negotiate transaction agreements and related corporate documents.
  • Conduct and manage transaction due diligence and help identify and address legal and business risks.
  • Work collaboratively with senior attorneys clients and other advisors to execute transactions efficiently.
  • Provide thoughtful commercially focused legal guidance throughout the transaction lifecycle.
  • Potentially support SEC reporting capital markets and corporate governance matters.

Qualifications

  • 3 years as an associate attorney; 3rd-year attorney or above.
  • 2 years of sophisticated corporate transactional experience.
  • 2 years of M&A deal experience.
  • Experience representing private equity firms and/or private companies in sophisticated transactions.
  • Experience with public company M&A is required.
  • J.D. from an accredited law school.
  • Active law license in a U.S. jurisdiction in good standing.
  • Excellent academic credentials.
  • Strong analytical written verbal and interpersonal communication skills.
  • Ability to manage sophisticated transactions and work effectively in a collaborative team environment.
  • SEC reporting capital markets and/or corporate governance experience is a plus.
