POSITION SUMMARY:

The Associate Corporate Counsel will support Heelstones project development pipeline from site acquisition to construction. They will provide expertise in corporate formation documents contract drafting and negotiation and overflow support to the entire legal team. This full-time onsite position reports to the Chief Legal Officer and is located in Durham NC.

RESPONSIBILITIES

• Draft review and negotiate a wide variety of agreements including but not limited to power purchase agreements EPC-related agreements master service agreements non-disclosure agreements M&A transactions (including due diligence) etc.
• Provide expertise in organizational formation documents and manage related processes.
• Assist in project finance-related transactions (i.e. ancillary supporting documents Know-Your-Customer diligence etc.)
• Ensure quality clarity and consistency across legal documents.
• Contribute to the development and improvement of contract templates and internal processes.

SKILLS AND PERSONAL QUALITIES

• Possess effective time management project management dispute resolution and interpersonal skills.
• Excellent written and oral communication skills.
• Ability to effectively communicate with individuals at all different levels in a transaction in a respectful and professional manner.
• Team player who can integrate well with a small and high-performing team.
• Comfortable engaging in commercial negotiations and drafting.
• Ability to work independently with minimal supervision.

EDUCATION/PROFESSIONAL EXPERIENCE

• JD from an accredited law school.
• Current license to practice law.
• Minimum 1-3 years experience. Prior experience in renewable energy preferred but not required.
• Strong computer skills including working knowledge of Microsoft Suite (Word Excel PowerPoint and Outlook).
• Experience working with Datarooms such as Box Dropbox and SharePoint.
