Job Description:

Whats the role

The Senior Company Secretariat Assistant will support the delivery of a high-quality company secretarial and corporate governance service within Shell. The role will cover listed company governance and compliance processes board and shareholder activities corporate reporting support the maintenance of key governance records and systems and entity management (as needed).

What youll be doing

Plc matters

  • Assist with the drafting the Governance section of the Annual Report.

  • Assist with the delivery of the Shell Annual General Meeting including drafting of various documentation.

  • Regulatory announcements drafting disclosures and distributing to the UK Amsterdam and US markets as appropriate.

  • Maintenance of various corporate and board registers including appointment schedules conflicts of interest share dealing.

  • Ensure GEMS database is up to date for Shell plc.

  • Liaise with Non-executive Directors.

  • Support KYC and due diligence requests.

  • Provide support for the drafting and distribution of Board and Committee papers as needed.

  • Draft Powers of Attorney and assist with execution.

  • Support the buyback process including maintaining the buyback tracker and drafting / reviewing Companies House forms.

Shareholder Matters

  • Delivery of a high-quality level of service to shareholders.

  • Day to day liaison with the companys registrar Equiniti.

  • Respond to shareholder queries (emails letters phone calls).

  • Assist with the dividend process including reviewing the funding request dividend stationary and dividend forfeiture.

  • Support with strategic initiatives.

Insider Management System

  • Support with PDMR Clearance Requests and associated matters.

  • In the absence of the InsiderTrack coordinator pick-up BAU tasks as required.

Other

  • Keep up to date on latest statutory and regulatory requirements and flag relevant updates internally.

  • Support ad hoc team and corporate governance projects.

  • Website governance updates.

  • Draft maintain and update process notes and internal guidance.

  • Support on audit requests received.

  • Support on UK entity management as required.

  • Manage shared mailboxes deal with queries and escalate as needed.

What you bring

  • Qualified or part-qualified with the UK Chartered Governance Institute.

  • Experience or developing experience in company secretarial governance or similar environment.

  • Knowledge of statutory compliance requirements and Companies House processes.

  • Proficient IT skills including an entity management portal a board paper portal and in-depth knowledge of and proficiency in the Microsoft Package.

  • Conceptual thinker with problem solving and analytical capability.

  • Strong organisational skills with the ability to manage competing priorities work under pressure and deliver accurately to deadlines.

  • High levels of accuracy and excellent attention to detail.

  • Strong written and verbal communication skills with the confidence to liaise with senior stakeholders and external advisers.

  • A collaborative approach and the ability to work effectively with diverse cross-functional and virtual teams.
