Volta is the category-defining fully vertically integrated AI infrastructure platform from capital to clusters to software under a founder-led enterprise. Launched with a $10B strategic partnership with one of the leading frontier AI labs a Series A led by Andreessen Horowitz and a $5B AI Infrastructure Fund Volta is building the infrastructure layer of the AI era from the ground up. We are 100 people across London Palo Alto and New York with rapid growth expectations to hundreds.
We are hiring our first dedicated Corporate Secretary to own company secretarial and corporate governance matters across the Volta group. As we add entities boards joint ventures and financings at pace we need a professional who can bring order rigor and forward planning to entity management board processes and statutory compliance across the UK and working with local counsel and providers in Norway the US Luxembourg and Spain.
This is a high-ownership role at the center of live transactions. You will work directly with the SVP Strategic Finance the founders and senior leadership and coordinate day to day with top-tier external counsel and corporate service providers. It suits someone who wants breadth pace and genuine responsibility rather than a narrow process-only remit.
Entity management Maintain the group entity map and statutory records for all group companies; manage incorporations shelf-company acquisitions re-registrations and inter-company reorganizations across jurisdictions working with local counsel and registered agents.
Board and shareholder governance Prepare and manage board and shareholder meetings written resolutions minutes powers of attorney and delegated authority frameworks; maintain resolution logs and ensure signing authorities are current and evidenced.
Statutory compliance Own Companies House and equivalent registry filings (confirmation statements PSC/RLE registers director appointments and resignations share allotments) and monitor filing calendars across all jurisdictions.
Transaction support Support financings joint ventures and M&A with corporate approvals condition-precedent deliverables officer certificates structure charts KYC packs and closing mechanics; coordinate signing and completion logistics.
JV and investor governance Administer shareholders agreements deeds of adherence reserved-matter consent processes and information rights for joint venture partners and investors.
Banking and counterparty onboarding Manage KYC/AML documentation bank mandate resolutions authorized signatory lists and W-series / entity classification forms for banks lenders and major suppliers.
Director and officer support Manage director onboarding (including foreign registration requirements such as identification numbers for non-resident directors) D&O compliance conflicts registers and director training.
Policies and records Build and maintain the corporate governance manual minute books share registers and a single source of truth for constitutional documents and corporate approvals.
External providers Instruct and manage law firms notaries and corporate service providers in each jurisdiction; control cost and quality of company secretarial spend.
5 years company secretarial / corporate governance experience ideally including both a professional services environment (law firm Big 4 corporate services provider) and an in-house role.
Chartered Governance Institute (CGI / ICSA) qualified or part-qualified or a qualified lawyer with substantial company secretarial practice.
Strong working knowledge of UK Companies Act requirements; demonstrable experience coordinating cross-border entity matters (e.g. Nordic US Luxembourg or Spanish entities) through local counsel.
Experience supporting private-capital-backed or infrastructure/energy businesses joint ventures or project-financed structures is a strong advantage.
Meticulous drafting and document management skills; comfortable producing board resolutions minutes and closing sets to law-firm standard.
Organized and self-directed: able to run multiple entity workstreams in parallel track deadlines without prompting and bring structure to a fast-moving environment.
Discreet and trustworthy with highly confidential commercial and investor information.
Fluent English essential; additional European languages (Spanish Norwegian French or German) helpful given our footprint.
