We have an exciting opportunity for an experienced company secretarial and corporate governance professional to join our team providing essential support to the Group Company Secretary within an AIM-listed PLC.
Key Responsibilities:
The position encompasses several critical areas including:
- Statutory compliance. Duties include maintaining and updating statutory registers preparing and submitting filings to Companies House within deadlines and assisting with UK GDPR and Data Protection Act 2018 compliance.
- Governance support. This involves assisting in implementing and maintaining compliance with the Articles of Association and supporting the implementation and improvement of the organisations corporate governance framework in accordance with the Quoted Companies Alliance Corporate Governance Code.
- AIM compliance. Responsibilities include ensuring adherence to AIM Rules for Companies and managing regulatory announcements via Regulatory Information Services.
- Internal policy development. The role also involves drafting and monitoring internal governance policies such as Whistleblowing Anti-Bribery and Data Protection Policies and conducting reviews to align with best practices.
- Shareholder relations and reporting. The role involves assisting with shareholder communications including drafting meeting notices proxy forms and addition the role provides administrative support for the Annual General Meeting and will liaise with shareholders regarding governance queries whilst ensuring compliance with AIM Rules and Disclosure Guidance and Transparency Rules.
- Annual Report. The role includes assisting with preparation of the annual report and accounts coordinating with officers and stakeholders to gather necessary information and supporting the preparation and dispatch of related documents.
- Further responsibilities include assisting with the Groups intellectual property portfolio management coordinating with external advisers for trademark renewals and filings and supporting with intellectual property disputes. The role also contributes to corporate transactions such as share allotments and rights issues and works with external advisers including legal counsel brokers and auditors to execute governance tasks.

Success is measured by:
- Timelyand accurate maintenance of statutory registers with no compliance failures;
- Timely submission of all required filings with Companies House and other regulatory bodies;
- Effective AIM compliance management;
- Timely preparation and delivery of designated sections of the annual report and accounts;
- Successful facilitation of AGMs and corporate transactions;
- Accurate intellectual property records maintenance;
- Consistent GDPR compliance support;
- Professional shareholder and stakeholder liaison; and
- Accurate governance documentation maintenance.
