Assistant Company Secretary fixed term contract (6 months)
Job Summary
We are seeking a capable and credible Assistant Company Secretary to provide immediate support to the Company Secretariat team while we appoint a permanent resource.
This is a hands-on six-month contract role supporting the Deputy Company Secretary and the wider business in delivering a high-quality corporate governance framework across the Group. The successful individual will be expected to contribute with pace professionalism and a high degree of independence from the outset.
The role will involve core company secretarial responsibilities board and committee support statutory compliance and entity management. It will suit someone who can quickly build effective relationships manage competing priorities and operate confidently with senior stakeholders in a fast-paced high-profile environment.
The contract may also provide an opportunity to continue supporting the team beyond the initial six-month period subject to business requirements and the appointment of the permanent resource.
Key Responsibilities
- Maintain statutory registers and corporate records ensuring accuracy and compliance with the UK Companies Act.
- Prepare and file statutory documents with Companies House within required deadlines.
- Support the administration of Group entities including maintaining structure charts and entity management systems such as Diligent Entities.
- Coordinate board and committee processes including scheduling meetings preparing agendas collating materials and distributing board packs.
- Prepare accurate minutes track actions and ensure timely follow-up and completion.
- Support the smooth and professional running of board and committee meetings.
- Attend and provide company secretarial support at board and committee meetings where required.
- Provide dependable day-to-day support to the Deputy Company Secretary and wider Company Secretariat team.
- Build effective working relationships with senior stakeholders and act as a reliable point of contact on company secretarial matters.
- Monitor compliance deadlines and ensure timely completion of regulatory and statutory obligations.
- Ensure governance documentation is accurate up to date appropriately stored and accessible.
- Support corporate transactions and changes including director appointments and resignations share allotments and Group structure updates.
- Liaise with internal stakeholders and external advisers including legal counsel auditors and registrars.
- Support the administration of the Companys share and equity incentive programmes.
- Assist with UK compliance requirements and where applicable US SEC or other international regulatory obligations.
- Contribute to the improvement of company secretarial processes including identifying efficiencies and making effective use of digital tools and AI where appropriate.
Qualifications :
Skills Knowledge and Experience
- Experience working within a company secretarial legal or governance team.
- Strong knowledge of the UK Companies Act and corporate governance requirements.
- Experience supporting board and committee processes in a corporate environment.
- Confidence engaging with senior stakeholders and contributing professionally in board and committee settings.
- Strong organisational skills with the ability to manage competing priorities and meet tight deadlines.
- High levels of accuracy and attention to detail.
- Strong written and verbal communication skills.
- Sound judgement professionalism and the ability to work independently.
- The ability to quickly understand processes systems and organisational structures.
- Experience using an entity management system such as Diligent Entities is advantageous.
- Exposure to US regulatory frameworks including SEC requirements is desirable.
- Experience supporting share plans or equity incentive programmes is beneficial.
Qualifications
A law degree Chartered Secretary qualification qualification in progress or equivalent relevant experience would be desirable.
