Job Summary
- Lead and manage M&A transactions from inception to completion ensuring seamless execution and delivery.
- Advise clients on mergers acquisitions corporate reorganizations joint ventures and strategic investments.
- Structure transactions to align with clients commercial objectives while mitigating legal and regulatory risks.
- Draft review and negotiate transaction documents including share purchase agreements asset purchase agreements shareholders agreements subscription agreements and related ancillary documents.
- Oversee and coordinate legal due diligence exercises and prepare comprehensive due diligence reports.
- Manage transaction timelines and coordinate with clients regulators financial advisers consultants and external counsel.
- Advise on corporate governance regulatory compliance competition law and post-acquisition integration matters.
- Prepare legal opinions board and shareholder resolutions transaction reports and regulatory filings.
- Mentor supervise and review the work of junior associates and trainees.
- Participate in client relationship management business development initiatives and thought leadership activities.
- Monitor legal and regulatory developments affecting M&A private equity and corporate transactions.
- LL.B degree from a recognized university and qualification to practice law.
- 68 years of post-qualification experience in M&A corporate/commercial law private equity capital markets or a related transactional practice.
- Demonstrated experience leading and managing complex transactions.
- Excellent drafting negotiation and transaction management skills.
- Strong commercial awareness and understanding of corporate finance and business transactions.
- Proven ability to manage multiple matters and meet tight deadlines.
- Excellent analytical communication and interpersonal skills.
- High attention to detail and commitment to excellence.
- Ability to work independently while collaborating effectively within a multidisciplinary team.
