Job Summary
Position Overview:
The CFO will lead the Groups finance and company secretarial functions with the primary mandate of driving capital-raising and corporate exercises to fund the Companys growth strategy. The role also carries full ownership of listed company compliance governance and audit matters and will play a lead role in originating and executing M&A opportunities. The CFO will report directly to the Group CEO and will be a key face of the Company to the investment community.
What will you do:
1. Fundraising & Corporate Exercises (Primary Focus)
- Lead and execute capital-raising exercises including placements rights issues and other equity/debt fundraising instruments
- Structure and manage corporate exercises (e.g. bonus issues share splits warrants ESOS) aligned with the Companys capital and growth strategy
- Liaise with investment banks underwriters legal counsel and regulators (Bursa Malaysia Securities Commission) to execute fundraising exercises efficiently
- Develop and own the Companys fundraising roadmap in consultation with the Group CEO and Board
2. Listed Company Compliance Company Secretarial & Audit (Second Priority)
- Lead the company secretarial function ensuring full compliance with Bursa Malaysia Main Market Listing Requirements the Companies Act 2016 and other applicable regulations
- Ensure timely and accurate submission of all statutory and continuing disclosure obligations quarterly results annual reports material announcements circulars and other filings
- Lead the annual audit process end-to-end as the key liaison with external auditors the Audit Committee and the Board
- Maintain robust internal controls and governance frameworks in line with the Malaysian Code on Corporate Governance
- Ensure the Companys corporate governance disclosures and Board reporting consistently meet Bursa and regulatory expectations
3. M&A Origination & Execution
- Actively identify originate and evaluate M&A and strategic investment opportunities aligned with Group strategy
- Lead due diligence valuation deal structuring and negotiation for M&A transactions
- Oversee post-deal integration planning from a finance and governance perspective
4. Financial Management & Reporting
- Own the Groups financial reporting in full ensuring compliance with MFRS and Bursa reporting timelines
- Manage budgeting forecasting cash flow and treasury functions
- Provide financial analysis and insights to support Board and management decision-making
5. Investor Relations
- Serve as a key point of contact for investors analysts and the investing public
- Develop and manage investor communication materials and engagement activities (results briefings roadshows AGM)
6. Team Leadership
- Build and lead a lean high-performing finance and company secretarial team
- Develop team capabilities in step with the Companys growth trajectory
Who are we looking for:
Qualifications
- Bachelors degree in Accounting Finance or a related field
- Professional accounting qualification Member of the Malaysian Institute of Accountants (MIA) or a
- recognized equivalent (ACCA CPA Australia ICAEW MICPA CIMA) satisfying MIA membership eligibility
- in line with Bursa Malaysia CFO qualification requirements
Experience
- Minimum 1012 years of progressive finance experience including at least 5 years in a senior finance leadership role (CFO Finance Director or Head of Finance)
- Proven experience within a Bursa Malaysia listed company (Main Market) environment
- Demonstrated track record leading fundraising exercises placements rights issues or equivalent capital markets transactions
- Experience overseeing the company secretarial function and listed company compliance (Bursa Listing Requirements Companies Act 2016)
- Experience managing external audit processes and engaging directly with the Board / Audit Committee
- Track record in M&A origination and execution
- Experience in or exposure to the technology/digital sector preferred
- Experience managing a small lean finance team
- Experience in investor relations or engaging with the investing public
