Job Summary
We are seeking an experienced Corporate Paralegal to join our corporate team in Kansas City. This is a full-time role focused on supporting attorneys with a wide range of transactional and compliance matters for business entities. The ideal candidate is detail-oriented organized and thrives in a fast-paced environment. Remote working is available.
Key Responsibilities
- Handle entity formation and dissolution for corporations LLCs and other business entities
- Draft operating agreements partnership agreements and related documents for attorney review
- Maintain annual corporate reports minutes and other compliance filings
- Document stock transfers assignments of LLC interests and related ownership changes
- Obtain federal and state Tax ID numbers (EINs) and manage related filings
- Manage and update the firms corporate database ensuring all records are current and accurate
- Serve as registered agent and coordinate service of process annual reports and franchise tax filings
Qualifications
- Minimum 35 years of relevant experience as a corporate paralegal (or equivalent experience in a law firm or in-house corporate setting)
- No degree required
- Strong working knowledge of corporate entity compliance formation and maintenance procedures
- Excellent organizational skills with meticulous attention to detail
- Proficiency in Microsoft Office and experience with corporate database or practice management systems
- Ability to work independently and collaboratively in a remote or hybrid environment
